An ordinance amending Sections 10-3, 10-222, 10-302 and 10-303 of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph, Morris County, New Jersey


WHEREAS, pursuant to N.J.S.A. 40:48-1, the governing body of a municipality may make, amend, repeal, and enforce ordinances to prescribe and define the duties and terms of employment of all officers and employees of the municipality; and

WHEREAS, the Township of Randolph desires to amend Section 10-3, Vacancies, of Article I, In General, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph to indicate that if a member of a Committee does not take the oath of office within three weeks of the date of appointment, that Committee position is declared vacant; and

WHEREAS, the Township of Randolph desires to amend Section 10-222 of Article XI, Community Services Advisory Committee, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph to reduce the number of alternate members of the Community Services Advisory Committee to one alternate member; and

WHEREAS, the Township of Randolph desires to amend Sections 10-302 and 10-303 of Article XV, Advisory Landmark Committee, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph to reduce the number of alternate members of the Advisory Landmark Committee to two alternate members.

NOW, THEREFORE, BE IT ORDAINED, by the governing body of the Township of Randolph, County of Morris, State of New Jersey, as follows:

SECTION ONE. Subparagraph (b) of Section 10-3, Vacancies, of Article I, In General, of Chapter 10, Boards, Commissions, Committees and Agencies of the Revised Ordinances of the Township of Randolph, Morris County, New Jersey is hereby deleted in its entirety and replaced by the following:

(b) The council may declare a vacancy if a member of any board, committee or agency shall fail to attend three consecutive duly called meetings or fail to attend more than 60 percent of the duly called meetings in a three-month period, without being excused by a majority of the members of the board, committee or agency.

SECTION TWO. Section 10-3, Vacancies, of Article I, In General, of Chapter 10, Boards, Commissions, Committees and Agencies of the Revised Ordinances of the Township of Randolph, Morris County, New Jersey is hereby amended by the addition of the following:

(d) Unless otherwise specifically provided by statute to the contrary, if a member or alternate member of a committee fails to take the oath of office within three weeks of the date of his/her appointment, the committee position held by the member that failed to timely take the oath of office is declared vacant. This section shall only apply to committees and does not apply to boards or agencies.

SECTION THREE. Section 10-222 of Article XI, Community Services Advisory Committee, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph is hereby deleted in its entirety and replaced by the following:

Sec. 10-222. Appointment; term; officers; vacancies.

(a) The committee shall consist of nine general members, alternate number one and two student (non-voting) members. A meeting quorum shall be achieved with any combination of general members and alternate member as long as a total of five or more general/alternate members are in attendance. All members shall reside in Randolph.

The student members shall not take part in voting.

(b) The members first appointed, by the council, shall serve terms as follows:

(1) Three general members for three years with terms expiring December 31, 2009. After the initial appointment; all future appointments shall be for three years.

(2) Three general members for two years with terms expiring December 31, 2008. After the initial appointment; all future appointments shall be for three years.

(3) Three general members for one year with terms expiring December 31, 2007. After the initial appointment; all future appointments shall be for three years.

(4) Alternate member number one for three years, with the first term expiring December 31, 2009. After the initial appointment; all future appointments shall be for three years.

(5) Up to two student members for one year. After the initial appointment(s); all future appointments shall be for one year.

(c) The chairperson of the committee shall be a general member who shall be appointed by a vote of a majority of a quorum during a duly convened meeting of the committee, at its annual reorganization meeting to be held within the first 30 days of each calendar year.

(d) If a vacancy shall occur, it shall be filled by appointment, as provided above, for the unexpired term.

SECTION FOUR. Sections 10-302 and 10-303 of Article XV, Advisory Landmark Committee, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph are hereby deleted in their entirety and replaced by the following:

Sec. 10-302. Members; appointment.

The advisory landmarks committee shall consist of five regular members and two alternate members, all of whom shall be appointed by the council.

Sec. 10-303. Terms of members; vacancies; compensation; organization.

(a) When the committee is first established, the initial members shall serve staggered terms.

(1) When the committee is first established, one member shall be appointed for a term of one year; one shall be appointed for a term of two years; and three shall be appointed in like manner for three years. When the committee is first established, one alternate member shall be appointed for a term of one year and one alternate member shall be appointed for a term of two years. Thereafter, the term of a regular member shall be three years and the term of an alternate member shall be two years.

(b) In the event of a vacancy during the term of a member, the council shall make an appointment to fill the unexpired portion of the term.

(c) Members shall serve without remuneration.

(d) Questions of organization, such as officers, quorum, etc., shall be determined by the committee itself.

SECTION FIVE. Current alternate members duly appointed to the Community Services Advisory Committee and Advisory Landmark Committee whose structures are reorganized herein shall remain in their respective position until their current term expires and the remaining alternate positions in those Committees shall thereafter be appointed as set forth in Chapter 10, Boards, Commissions, Committees and Agencies of the Revised Ordinances of the Township of Randolph, Morris County, New Jersey and this Ordinance. Current regular members duly appointed to the Community Service Advisory Committee and the Advisory Landmark Committee shall remain in their position for the balance of their respective terms.

SECTION SIX. All Ordinances of the Township of Randolph which are inconsistent with the provisions of this Ordinance are hereby repealed as to the extent of such inconsistency.

SECTION SEVEN. If any section, subsection, clause, or phrase of this Ordinance is for any reason held to be unconstitutional or invalid by any Court of competent jurisdiction, such decision shall not affect the remaining portions of this Ordinance.

SECTION EIGHT. This Ordinance shall take effect as provided by law.

NOTICE IS HEREBY GIVEN that an Ordinance entitled “An Ordinance Amending Sections 10-3, 10-222, 10-302 And 10-303 Of Chapter 10, Boards, Commissions, Committees And Agencies, Of The Revised Ordinances Of The Township Of Randolph, Morris County, New Jersey” was submitted in writing at a regular meeting of the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey, held on March 5, 2009 and was introduced, read by title and passed on first reading. A Statement of Purpose of the Ordinance is contained below. The Governing Body of the Township of Randolph will further consider the Ordinance for second reading and final passage thereof at their regular meeting to be held on April 2, 2009 at 8 p.m. prevailing time, at the Municipal Building, 502 Millbrook Avenue, Randolph, New Jersey 07869, at which time and place a public hearing will be heard thereon by the Governing Body and all parties in interest and citizens shall have an opportunity to be heard concerning said Ordinance.

Statement of Purpose of Ordinance

The purpose of the above Ordinance is to amend to amend Section 10-3 of Article I, In General, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph to indicate that if a member of a Committee does not take the oath of office within three weeks of the date of appointment, that Committee position is declared vacant. In addition, the purpose of the above Ordinance is to amend Section 10-222 of Article XI, Community Services Advisory Committee, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph to reduce the number of alternate members of the Community Services Advisory Committee to one alternate member; and to amend Sections 10-302 and 10-303 of Article XV, Advisory Landmark Committee, of Chapter 10, Boards, Commissions, Committees and Agencies, of the Revised Ordinances of the Township of Randolph to reduce the number of alternate members of the Advisory Landmark Committee to two alternate members.
