A. OPENING OF REGULAR MEETING
1. Call to Order
A regular meeting of the Randolph Township Council was called to order at 7:00 p.m. by Mayor Loveys. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location, and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the bulletin board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on December 5, 2013, by e-mailing them the annual resolution adopted by the Council on December 5, 2013. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph, and the Daily Record on December 12, 2013.

3. Mayor Loveys led the Pledge of Allegiance.
B. OPEN TO THE PUBLIC
Judith Stewart of 114 Everdale Road stated that Steve O’Mara had passed away. Since he was so involved in environmental work in the township and such an asset to the community, Mrs. Stewart asked if the Council would begin a fund to have a tree and a bench dedicated in his honor. She gave a donation to start the fund.
Seeing no one further from the public, the public portion was closed.
C. PROCLAMATION
Mayor Loveys explained that Dr. Simon, a partner in the Randolph Pain Relief and Wellness Center, is promoting an initiative in partnership with the Rotary Club and the Middle School to hold a Wellness Day on May 3rd. The Mayor read the Proclamation:

WHEREAS, the Randolph Township Council cares about the Health and Wellness of our residents; and
WHEREAS, the Safety of our residents is a significant concern for our families, community leaders, and all that thrive here; and
WHEREAS, the Environmental Wellness is of universal concern and deserves the utmost attention; and
WHEREAS, the Financial Integrity of our families is vital to our community’s stability; and
WHEREAS, Randolph Township supports the efforts of those in the community looking to inspire our residents to take back responsibility for their family’s health, safety, environmental, and financial wellness in order to elevate the quality of their lives and the status of our community.
NOW, THEREFORE, be it resolved that I, James Loveys, Mayor of the Township of Randolph, in the County of Morris, New Jersey, do hereby proclaim May 3, 2014 as Community Wellness Day in Randolph and urge that this day be dedicated to the efforts of Community Professionals and Businesses in helping educate all citizens on the importance of Health, Safety, Environmental, and Financial issues affecting our community.

Dr. Simon explained that the event will focus on the four concepts of wellness; general health, safety, environmental, and financial wellness. Various businesses will participate and provide their wellness information. The money is going to go to the Randolph Rotary Club as well as the Randolph Middle School since they are having a wellness initiative.

Mayors Loveys made a motion to move Alternate No. 1, Matt Tal, to a regular member of the Board of Adjustment to fill the unexpired term of Maggie Finnerin; move Alternate No. 2, Steve Fogel, to the Alternate No. 1 position on the Board of Adjustment; and appoint Marie Potter as Alternate No. 2 on the Board of Adjustment. Mayors Loveys made a motion to appoint Walter Nickens as the Chairperson of the Environmental Commission; move Alternate No. 1, Larry Appel, to a regular member of the Environmental Commission to fill the unexpired term of Stephen O’Mara; and appoint John Ragan as Alternate No. 1 on the Environmental Commission. E. MANAGER’S REPORT
Deputy Mayor Veech reported the following regarding the Finance Committee:
- The committee has met twice. Mike Soccio and Darren Maloney attended both meetings.
- The first meeting focused on financial reports. It was decided that they would like to have the expenditures and the revenues, and the summary reports placed in a library that could always be referenced. They had suggested having the reports quarterly, at 6 months and yearly; Manager Lovell said they could be received monthly. Any other special type of financial reports that would help with benchmarking would also be put in the library. The 2013 reports will be put in the library.
- Internal controls were discussed. As an example, one control, segregation of duties, is followed in that the Purchasing Department is different from the Finance Department. The committee was reassured that the township is employing best practices between the segregation of duties, the receipt books, and the audit. The committee concluded that there was nothing more which required follow up.
Manager Lovell reported that the HVAC system modification will go from a pneumatically controlled system to a digital system. The bid will go out in March with an anticipated installation in September/October. Certain portions of the buildings will be shut down each day during the installation period.
F. COMBINED ACTION RESOLUTIONS
The following items were discussed:
Mayor Loveys withdrew resolution R-7-14 and announced that our current Prosecutor has accepted a Superior Court Judge position and his resignation is effective immediately.
Councilman Hirniak and Councilman Guadagno asked that resolution R-57-14 be pulled for further discussion.
Deputy Mayor Veech made a motion to approve the Combined Action Resolutions withdrawing resolution R-7-14 and pulling resolution R-57-14 for further discussion. Councilman Guadagno seconded the motion and the following roll call vote was taken:

1. A Resolution of the Township of Randolph Authorizing the Award of a Professional Services Agreement to DiFrancesco, Bateman, Coley, Yospin, Kunzman, Davis, Lehrer and Flaum, P.C. for Prosecutor Services for the First Quarter of 2014
Manager Lovell announced that the Township’s Prosecutor, Michael Cresitello was appointed as a Superior Court Judge by Governor Christie. The Manager and Council wished him luck with his new appointment and stated that he would be missed here in Randolph Township.

2. Refund Road Opening Cash Bond for 137 Morris Turnpike to Robert Clark—$500.00
WHEREAS, the Engineering Department has received a request from Chris Wecht, for the release of a $500.00 cash road opening bond posted for the purpose of a new driveway at 137 Morris Tpke., Randolph; and
WHEREAS, the Road Opening Bond consisted of a $500.00 cash bond, which was received and deposited with the Finance Department on Oct. 17, 2013; and
WHEREAS, the Applicant was required to post this cash bond to guarantee the new driveway at 137 Morris Tpke. within the Township Right of way; and
WHEREAS, the Engineering Department has inspected the road opening work, and found it to be acceptable.
NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey that it is recommended by Raffaele Carchia, Engineering Administrator that the Cash Road Opening Bond in the amount of $500.00 be refunded to Robert Clark Contracting, 9 Black Birch Dr., Denville, NJ 07834.

3. Refund Overpayment of Taxes for Block 146, Lot 72.17 to Irman and Mona Malik—$1,202.25
WHEREAS, Imran/Mona Malik has been granted a reduction in assessed valuation for the tax year 2013 by the Morris County Board of Taxation on Block 146, Lot 72.17 ; and
WHEREAS, an overpayment exists as a result of the reduction for the year 2013 in the amount of $1,202.25.
WHEREAS, it is recommended by the Tax Collector that this overpayment be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $1,202.25 to Irman/Mona Malik.

4. Refund Overpayment of Taxes for Block 18.02, Lot 1, 3 Middlebury Boulevard Court to Carco Development—$74,876.45
WHEREAS, Carco Development Corp. has been granted a reduction in assessed valuation for the tax years 2010, 2011, 2012, & 2013 by the Tax Court of New Jersey on Block 18.02, Lot 1, known as 3 Middlebury Blvd.; and
WHEREAS, an overpayment exists as a result of the reduction for the year 2010 in the amount of $1,444.35, 2011 in the amount of $22,578.81, 2012 in the amount of $19,982.62 and 2013 in the amount of $30,870.67.
WHEREAS, it is recommended by the Tax Collector that these overpayments be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $74,876.45 to Carco Development Corp.

5. Refund Overpayment of Taxes for Block 18.01, Lot 1.09, 3 Middlebury Boulevard, Aspen Ice, to Carco Development—$136,626.09
WHEREAS, Carco Development Corp. has been granted a reduction in assessed valuation for the tax years 2010,2011,2012 and 2013 by the Tax Court of New Jersey on Block 18.01 Lot 1.09, known as 16 Aspen Drive; and
WHEREAS, an overpayment exists as a result of the reduction for the year 2010 in the amount of $6,812.31, 2011 in the amount of $35,511.10, 2012 in the amount of $49,249.22 and $45,053.46 for 2013.
WHEREAS, it is recommended by the Tax Collector that these overpayments be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $136,626.09 to Carco Development Corporation.

6. Refund Overpayment of Taxes, 10 Middlebury Boulevard, to Carco Development—$28,232.09
WHEREAS, Carco Development Corp. has been granted a reduction in assessed valuation for the tax years 2010, 2011, 2012, & 2013, by the Tax Court of New Jersey on Block 18.01, Lot 1.05, known as 10 Middlebury Blvd.; and
WHEREAS, an overpayment exists as a result of the reduction for the year 2010 in the amount of $1,250.91, 2011 in the amount of $6,317.25, 2012 in the amount of $8,843.20, and 2013 in the amount of $11,820.73.
WHEREAS, it is recommended by the Tax Collector that these overpayments be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $28,232.09 to Carco Development Corp.

7. Refund Overpayment of Taxes for 1075 Sussex Turnpike to Martin Heller—$44,255.18
WHEREAS, Martin Heller has been granted a reduction in assessed valuation for the tax years 2009, 2010,2011, 2012 and 2013 by the Tax Court of New Jersey on Block 168, Lot 53 known as 1075 Sussex Tpke; and
WHEREAS, an overpayment exists as a result of the reduction for the year 2009 in the amount of $3,827.18, 2010 in the amount of $9,672.00, 2011 in the amount of $10,038.00, 2012 in the amount of $10,251.00 and 2013 in the amount of $10,467.00.
WHEREAS, it is recommended by the Tax Collector that these overpayments be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $44,255.18 to Martin Heller.

8. Resolution Authorizing the Release of Monies Representing a Performance Bond Submitted by Innovative Municipal Products (US), Inc./DBA Innovative Solutions for MCCPC Contract #3
WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) awarded Category VI of Contract #3 (Rock Salt & Liquid Calcium Chloride) to Innovative Municipal Products (US), Inc., dba Innovative Surface Solutions, on September 6, 2012, for the contract period July 1, 2012 to June 30, 2013; and
WHEREAS, Innovative Municipal Products (US), Inc. provided a certified check in the amount of $20,000.00 to cover their 100% performance bond as required in the Bid Specifications; and
WHEREAS, the one (1) year contract expired on June 30, 2013, therefore the Township on behalf of the MCCPC will release monies from Account #294947000 representing the performance bond in the amount of $20,000.00 plus the accrued interest.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey, that the monies representing the performance bond submitted by Innovative Municipal Products (US), Inc. for the award of Category VI of MCCPC Contract #3 (Rock Salt & Liquid Calcium Chloride) be released in accordance with the above calculations.

9. Governor’s Council on Alcoholism and Drug Abuse Fiscal Grant Extension January 1, 2014 to June 30, 2014
WHEREAS, the Governor’s Council on Alcoholism and Drug Abuse established the Municipal Alliances for the Prevention of Alcoholism and Drug Abuse in 1989 to educate and engage residents, local government and law enforcement officials, schools, nonprofit organizations, the faith community, parents, youth and other allies in efforts to prevent alcoholism and drug abuse in communities throughout New Jersey.
WHEREAS, the Randolph Township Council of Randolph, County of Morris, State of New Jersey recognizes that the abuse of alcohol and drugs is a serious problem in our society amongst persons of all ages; and therefore has an established Municipal Alliance Committee; and,
WHEREAS, Township of Randolph was approved for a Municipal Alliance grant for the January 1, 2013 through December 31, 2013 grant term; and
WHEREAS, the Governor’s Council on Alcoholism and Drug Abuse has extended the 2013 grant term until June 30, 2014, in order to transition the grant to a fiscal year rather than calendar year cycle; and
WHEREAS, funding has been made available to Randolph Municipal Alliance in the amount of 50% of its approved 2013 grant total for the six-month extension period of January 1, 2014 to June 30, 2014, contingent upon meeting the 25% Cash Match and 75% In-Kind Match grant requirement for the extension funding.
NOW, THEREFORE, BE IT RESOLVED that the Township of Randolph Council does hereby authorize the submission of the grant extension for the Randolph Municipal Alliance grant in the amount of:

In-Kind $20,593.13
The Township of Randolph Council acknowledges the terms and conditions for administering the Municipal Alliance grant, including the administrative compliance and audit requirements.

10. Release Soil Movement Permit Fee for 765 Route 10 to Randolph MAB—$10,000
WHEREAS, the Engineering Department has received a request from Brian Longazel of Gordon Randolph MAB Associates, LLC, for the partial release of a permit fee posted for soil movement at 765 Route 10 East, Block 44, Lot 14, in the amount of $10,000.00, and;
WHEREAS, the soil permit fee was received and deposited with the Finance Department on April 27, 2007 in the amount of $20,000.00.
NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey that it is recommended by the Engineering Administrator, that the partial release of soil movement permit fee in the amount of $10,000.00, be released to Randolph MAB Associates, LLC, 1436 E. Elizabeth Avenue, Linden, NJ 07036.

11. Change Order #2 and #3—P.M. Construction Corporation—Butterworth Interceptor Upgrade—Raynor Sanitary Sewer Project
WHEREAS, the original contract with P.M. Construction Corp. for the Butterworth Interceptor Upgrade—Raynor Sanitary Sewer Project is $1,363,377.00; and
WHEREAS, Change Order #1—Replacement of 100’ of water main in the amount not to exceed $13,234.25 was approved on December 5, 2013; and
WHEREAS, the Project Engineer, Hatch Mott MacDonald, recommends that the following Change Order be approved:
* Change Order #2—Extra work related to 8 water main replacement along Lake Road compromised by excavation—$11,655.53 and
* Change Order #3—Water Main replacement on behalf of SMC MUA—$9,105.50
WHEREAS, the original contract is now amended as follows:

12. Morris County Affordable Housing Funds Application
WHEREAS, the Morris County Affordable Housing Corporation appeared before the Randolph Council and had applied in 2012 for the HOME investment Partnership Program funds through the Morris County Community Development office for the construction of 2 rental units at 172 Franklin Road, Randolph; and
WHEREAS, they were not awarded the funds at that time and are applying again for the 2014 funds; and
WHEREAS, as part of said application, the Mayor must sign stating that the project had been discussed at a Council meeting.
NOW, THEREFORE, BE IT RESOLVED that the Mayor is authorized to sign the application on behalf of the Council of the Township of Randolph.

WHEREAS, the Township of Randolph utilizes Morris County Cooperative Pricing Council (MCCPC) Contract #40 Personal Protection Items and Equipment for Emergency Personnel from various vendors for all departments in the Township; and
WHEREAS, these purchases are made on an as-needed basis; and
WHEREAS, these purchases will not exceed $42,000 for 2014; and
WHEREAS, funds are available for this purpose.
NOW THEREFORE, BE IT RESOLVED that the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey, authorize the Township of Randolph to make purchases under Morris County Cooperative Pricing Council (MCCPC) Contract ##40 Personal Protection Items and Equipment for Emergency Personnel through various vendors for all departments in the Township as needed.

WHEREAS, these purchases are made on an as-needed basis; and
WHEREAS, these purchases will not exceed $30,000 for 2014; and
WHEREAS, funds are available for this purpose.
NOW THEREFORE, BE IT RESOLVED that the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey, authorize the Township of Randolph to make purchases under New Jersey State Contract #T2760 OEM Automotive Parts and Accessories for Light Duty Vehicles from various vendors for all departments in the Township as needed.

WHEREAS, these purchases are made on an as-needed basis; and
WHEREAS, these purchases will not exceed $23,000 for 2014; and
WHEREAS, funds are available for this purpose.
NOW THEREFORE, BE IT RESOLVED that the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey, authorize the Township of Randolph to make purchases under Morris County Cooperative Pricing Council (MCCPC) Contract #23 Police Uniforms and Equipment from various vendors for the Police Department as needed.

WHEREAS, the Township of Randolph utilizes Morris County Cooperative Pricing Council (MCCPC) Contract #15-D Service/Truck Bodies from Cliffside Body Corporation as needed for all departments in the Township; and
WHEREAS, these purchases are made on an as-needed basis; and
WHEREAS, these purchases will not exceed $23,000 for 2014; and
WHEREAS, funds are available for this purpose.
NOW THEREFORE, BE IT RESOLVED that the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey, authorize the Township of Randolph to make purchases under Morris County Cooperative Pricing Council (MCCPC) Contract #15-D Service/Truck Bodies from Cliffside Body Corporation as needed for all departments in the Township.

18. Resolution #49-14 Authorizing Rejection/Award of Contract #15-D (Service/Truck Bodies—2014 Models)
WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) sought bids for a rebid of Contract #15-D (Service/Truck Bodies—2014 Models), Items #2, #3, #4, and #5; and
WHEREAS, bids had been advertised and received on December 19, 2013, in accordance with Local Public Contracts Law; and
WHEREAS, two bids were received for Contract #15-D (Service/Truck Bodies—2014 Models); and
WHEREAS, the low bidder, Dejana Truck of Greater Philadelphia, submitted a bid that took exception to the bid specifications and is therefore non-responsive and must be rejected; and
WHEREAS, Tony Sanchez, Ltd. is the lowest responsible and responsive bidder for Contract #15-D (Service/Truck Bodies—2014 Models), Items #2, #3, #4, and #5 as reflected on the attached Notification of Award for a one-year contract.
NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Township on behalf of the MCCPC hereby authorizes the award of Contract #15-D (Service/Truck Bodies—2014 Models) as stated above for the contract term of November 1, 2013 - October 31, 2014.
BE IT FURTHER RESOLVED that the Township Council authorizes the rejection of the bid submitted by Dejana Truck of Greater Philadelphia as non-responsive.

19. Authorizing Award of a Portion of Contract #15-F (Cab/Chassis with Dump Bodies 2014 Models)
WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) sought bids for the re-bid of Contract #15-F (Cab/Chassis with Dump Bodies—2014 Models), Item #2; and
WHEREAS, bids had been advertised and received on December 19, 2013, in accordance with Local Public Contracts Law; and
WHEREAS, one bid was received for Contract #15-F (Cab/Chassis with Dump Bodies—2014 Models), Item #2; and

WHEREAS, bids had been advertised and received on October 3, 2013, in accordance with Local Public Contracts Law; and
WHEREAS, AD Trophy was awarded a portion of Contract #39 (Furnishing Trophies & Plaques) on November 7, 2013; and
WHEREAS, despite repeated attempts by the MCCPC, AD Trophy failed to provide a signed contract or any of the required documentation rendering them non-responsive; and
WHEREAS, it is in the best interests of the MCCPC to rescind the award of a portion of Contract #39 from AD Trophy; and
WHEREAS, the second low bidder, TJ’s Sportwide, has agreed to honor the pricing provided in their bid proposal for those items initially held by AD Trophy as shown on the attached Notification of Award for the term of the contract (January 1, 2014 - December 31, 2014).

28. Authorizing a Shared Services Agreement Between the Township of Randolph and the County College of Morris for the One Year Period of February 1, 2014 through January 31, 2014
WHEREAS, the Township of Randolph annually bids for printing services for various items needed by various Township departments; and
WHEREAS, the current printing bid expires on January 31, 2013; and
WHEREAS, the County College of Morris (“CCM”) has a print shop and can do the majority of the Township’s print jobs; and
WHEREAS, the CCM Print Shop has provided pricing for the various items included on our annual printing bid; and
WHEREAS, the Purchasing Agent has compared CCM’s pricing with the pricing being charged by our current printing bid vendors and has determined that the majority of CCM’s prices are less than the current prices being charged for printing; and
WHEREAS, the funds for this project will be available in the 2014 budget for printing services.
NOW, THEREFORE BE IT RESOLVED, by the Mayor and Township Council of the Township of Randolph, County of Morris, State of New Jersey, that the mayor be authorized to sign a shared services agreement.

R-57-14—Discussion
Mayor Loveys asked Councilman Guadagno what his concerns were concerning Resolution No. 57-15. Councilman Guadagno stated that at this time he was not comfortable committing the Council to something in which they are not sure of the full extent. Councilman Guadagno asked what restrictions would be placed on the township if the township accepted the grant. He also asked if the township has a Green Team.
Manager Lovell stated that the township does not have an active Green Team. The grant application picks up points if there is a Green Team. Without a Green Team the application is probably not strong, but it will show the township’s strengths and weaknesses to make changes in the future.
Councilman Hirniak stated that he did not support this resolution for the following reasons:
- The Community Garden project has not been presented to the Council and the Council has not offered its comments or voted on it.
- The materials that are provided on the Sustainable New Jersey website as to the PSE&G grant specifically state that the township must be registered and certified with Sustainable New Jersey and have an active Green Team. He read the requirements for an active Green Team.
- At this time, the Council is not in a position to submit the required documentation for the Green Team. Therefore, the township would not qualify for this grant.
- He is not comfortable spending dollars which will result in a futile effort.
Councilman Napoliello stated that he agrees with the statements made by Councilman Hirniak.
26. Authorizing the Submission of the Township’s 2014 Sustainable Jersey Small Grant Application to Develop a Community Garden, in Support of the Township’s Sustainable Jersey Certification and the Goals of the Township’s Sustainability Program
WHEREAS, a sustainable community seeks to optimize quality of life for its residents by ensuring that its environmental, economic and social objectives are balanced and mutually supportive; and
WHEREAS, Randolph Township strives to save tax dollars, assure clean land, air and water, improve working and living environments; and
WHEREAS, Randolph Township is participating in the Sustainable Jersey Program; and
WHEREAS, one of the purposes of the Sustainable Jersey Program is to provide resources to municipalities to make progress on sustainability issues, and they have created a grant program called the Sustainable Jersey Small Grants Program;
WHEREAS, the Township Council of Randolph Township has agreed to apply for the aforementioned Grant for the purposes of developing a Community Garden for its residents, and to gain points toward Sustainable Jersey Certification; and
WHEREAS, this local project will support the goals of the Randolph Township Green Team and the Township’s ongoing initiatives to be a sustainable community; and
NOW, THEREFORE BE IT RESOLVED by the Township Council of the Randolph Township in the County of Morris and State of New Jersey that the Township hereby authorizes and supports the application to the Sustainable Jersey Small Grant Program for the Township’s Community Garden, and authorize the following:
A. Submission of the aforementioned Sustainable Jersey Grant for the development of the Community Garden.
B. The Township Manager is hereby directed to submit the application to Sustainable Jersey on or before January 26, 2014.

I. DISCUSSION ITEMS
1. MC Affordable Housing Funds Application
Manager Lovell explained that the resolution in support of the Morris County Affordable Housing Funds Application requires the Mayor’s signature.
2. Set Limits of Liability Insurance (optional liability)
Manager Lovell reported that MEL JIF provided coverage information for the other MEL JIF members statewide:
- Those with $15,000,000 in excess of $5,000,000-31% of the membership have opted for that coverage.
- Those with $10,000,000 in excess of $5,000,000-4% of the membership.
- Those with $5,000,000 in excess of $5,000,000-21% of the membership.
- Those with $2,000,000 in excess of $5,000,000-12% of the membership.
Manager Lovell recommended the Council increase the coverage to at least $10,000,000 in excess of $5,000,000. There was some discussion about increasing the coverage or leaving it as it is currently.

3. Tax Maps and Revaluation (PSA for tax maps February 6 agenda)
Manager Lovell explained that in his Memorandum to the Council regarding tax map preparation, he recommended that the firm Civil Solutions be brought on board. This is the firm that last updated the township tax maps. He, Barbara Gothie, Mike Soccio, Paul Ferriero, and Darren Carney have been working on this issue and looking at working with Civil Solutions on their proposal. After the selection of a firm to update the tax map, the next step is the selection of a revaluation firm. The Manager suggested that a Council committee be created to begin that process as well as have a public relations responsibility. The County Board of Taxation wants the revaluation in September 2016 and it will be on the books in 2017.
All were in favor of authorizing Manager Lovell to place a Professional Services Agreement for tax map preparation to Civil Solutions on the February 6, 2014 agenda.
4. Process to Fill the Council Vacancy and Set Interview Date
Ed Buzak explained that since the former Mayor was a member of a political party that the County Committee is required to offer 3 candidates to the full Council within 15 days of the date of the resignation; in this case it must be to the Township Clerk no later than the 22nd of January. The Council then has 30 days from the date of the resignation to appoint one of those three people. The selected person will serve until the term expires of the person he or she replaced, which in this case is through the end of this year. Interviews will be conducted at the February 6, 2014 meeting.
5. Butterworth Sewer Projects
Manager Lovell reported the following:
- Phase I is wrapping up.
- In the next couple of weeks Phase II will go out to bid. This is a pump station at the boundary with Morris Township, combined with a sewer gravity feed that will go down Sussex Turnpike and get into the Phase I project. The developer of the Kushner Project is set to get a proposal to Ed Buzak; they will be sharing in the cost of the project. The Manager has given Paul Ferriero the go ahead to get the specifications in final form.
- Phase III will upgrade the existing pump station on Musiker Avenue and a small pump station will be put on Shunpike Road; there will be a line connecting them. There is currently a Request for Proposal out for engineering firms to do the design work.

K. COUNCIL COMMENTS
Councilman Napoliello reported that the by-laws for the Municipal Alliance Committee (MAC) are inconsistent with the resolution which defines the MAC. Mayor Loveys stated that the MAC needs to update their by-laws to be in compliance with the resolution. He and Councilman Napoliello will meet with the Chairperson, Liz Ritter, and any other members to discuss the resolution and the by-laws in order to bring them into compliance.
Councilman Hirniak suggested that the Council create a committee of 3 to look at the ordinances that create committees and consider having 2 student liaisons on committees as well as enabling those student liaisons to have voting rights. A discussion item will be included on the February 6th agenda to create a work group.
Deputy Mayor Veech stated that on February 6th she will ask for a work group to be created to look at Sustainable New Jersey efforts, creating a Green Team, determining the feasibility of what that might be for Randolph.
There was discussion on the Wall Committee and infrastructure work group.
Manager Lovell reported that as part of the 2014 capital program, the walls targeted for redevelopment will be assigned; at that time, a presentation will be made by Paul Ferriero. There are two aspects of it:
- Where an area can be graded and not have a wall, grade it out. Where the area can be graded down and the wall be lowered, that should be done.
- Where there is no way of getting around a wall, the property will be specially assessed. The Council will determine what percentage of it will be specially assessed. There is a small project at Heistein Park that is expected to be done in the spring/summer so when the residents ask what they are getting for their special assessment, they can go there to view an example of a wall.
Mayor Loveys reported that the EDC had their first meeting; Trina Mitsch is the new Chairperson and Joe DeFeo is the Vice Chair.
L. EXECUTIVE SESSION
WHEREAS, Section 8 of the Open Public Meetings Act, Chapter 231, P.L. 1975 (N.J.S.A. 10:4-12) permits the exclusion of the public from a meeting under certain circumstances; and
WHEREAS, this public body is of the opinion that such circumstances presently exist.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, in the County of Morris, and State of New Jersey, as follows:
