This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location and to the extent known, the agenda of the meeting in Randolph Township.

This notice was posted on the Bulletin Board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on December 5, 2013, by e-mailing them the annual resolution adopted by the Council on December 5, 2013. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph, and the Daily Record on December 12, 2013.

Recognition of Former Mayor Tom MacArthur:

I thank Tom MacArthur for his services as Mayor. He leaves behind him an impressive legacy not the lease of which is the 90 acres preserved forever and added to Randolph’s Open Space this year. I often measure a Mayor’s service by asking was I a better Manager as a result. I am. I consider Tom to be one of the best Mayors that I served in my 39 years as Township Manager.

Recognition of Chief Financial Officer Michael Soccio:

A Town Manager is only as good as the people he delegates to. Michael Soccio who will be retiring has been an invaluable resource for me. There is a reason that Randolph Township enjoys a Triple A bond rating, Michael is one of the best Chief Financial Officer’s in the State and he will be missed.

Recognition of Former Mayor Tom MacArthur:

It’s been a pleasure and a privilege to serve as Deputy Mayor under Mayor Tom MacArthur. He provided the Council with excellent leadership. His tremendous business sense and experience enabled him to remain focused on the big picture during budget sessions and during negotiations on various issues that arose during the course of the year.

He is a gentleman who always has and open ear to and is respectful of a differing viewpoint. Perhaps his greatest quality is his balanced lifestyle...family, faith, and township responsibilities, through which he maintains the highest ethical and moral standards. His decision making was always extremely well thought out, rational, and without question, with the best interests of the residents of Randolph in mind.

Tom, you are truly a special person with whom I feel fortunate to have had the opportunity to cross paths. You’ll be a tough act to follow.

Recognition Township Manager John Lovell:

In terms of attending events held throughout the year in our township, 2013 was a year of lasts for our Chief Executive and Administrative Officer, Township Manager John Lovell. It was the last Memorial Day, Sept 11th and Veterans Day ceremonies at the VFW; the last Fire Department Inspection and Dinner, the last Volunteer Recognition and Business Awards Night, the last Employee Appreciation Breakfast, the last Senior Picnic and Senior Holiday Luncheon, the last Recreation Awards, and the last of various other events. Although the fact that it was his last was not always mentioned at the event, I know John attended each with mixed emotions.

Today marks his last Reorganization Day and in a few short months, his last budget season. On March 31, 2014 John’s career that spans more than 38 years as a Township Manager, more than 15 1/2 of which we are fortunate were spent here in Randolph, comes to a close. His professionalism, experienced leadership, and sound management style will be greatly missed. He guided our town through several natural disasters, the most recent of which of course was Super Storm Sandy. Always with an eye on the future, he managed numerous construction projects, the most recent of which include the new DPW building that we share with our BOE and the expansion and renovation of our Community Center and Library, and continues to manage several major infrastructure projects. Perhaps when he leaves his post, his contributions to our quality of life here in Randolph, most notably the development of Freedom Park and the over 15 miles of our interconnected trail system through over 2000 acres of acquired open space and County parkland, will be the greatest source of his pride. His list of accomplishments goes on and on.

I will always remember John as a team builder, a head coach, not always judging the success of his team in terms of wins and losses, but on commitment, dedication, and effort. He always has a finger on the pulse of discussions due to an uncanny ability to listen and dissect issues. He has a stake in this community and offered himself to its residents, thanks in part to his many walks through parks and trails with his dog Woody.

His love for his family and the tremendous value placed on this community were major reasons that his wife, Denise, and he chose to accept this position and move to town. He has certainly been guided by our Township’s mission statement, “The Randolph Township municipal organization strives to make the Township of Randolph the best it can be by providing effective governance enhanced customer services and excellent community facilities.” John, you’ve positioned Randolph to be strong well into the future and on behalf of the Township Council and all of our residents, I thank you.

Recognition of Chief Financial Officer Michael Soccio:

I thought it only appropriate, in light of his retirement at the end of February, to recognize our Chief Financial Officer Mike Soccio today as well.

Quietly, Mike has gone about his business of overseeing our Township’s finances for the past 30 years. His relationship with the town actually spans 40 years as he worked part time through a program offered while attending County College of Morris.

Both Mike and John were instrumental in the creation of the HIF and JIF programs in which numerous towns belong to and enables the Townships to purchase various forms of insurance and provide employee’s benefits, including health care, at reduced costs to the Townships due to economies of scale.

Mike epitomizes the passionate, committed, and loyal employee. He has been our Manager’s right hand man in the preparation of the municipal budgets and capital improvement programs over the years, and his cautious approach to managing our debt and reserve levels has much to do with Standard and Poor’s reaffirmation of our Township’s AAA bond rating.

Mike, on behalf of the Township Council, our Manager, and all of the residents of Randolph, we appreciate you being here today and thank you for all you’ve done for our community.

COMMENTS BY MAYOR AND COUNCIL—Goals and Objectives for 2014

Mayor James Loveys:

Good Afternoon,

I’d like to thank all of you for attending today and I wish everyone a happy, healthy, and safe New Year.

Special thanks to my wife Karen and our children Chelsea, Anna, James, and Abby for being here and sharing this day with me. A commitment to public service places demands on family life and, from the bottom of my heart, I thank you for your continued support and understanding.

It’s difficult to express how honored I feel to serve this community as its Mayor and I thank my Council colleagues for their much appreciated support. I’d like to thank outgoing Mayor Tom MacArthur for his leadership this past year. I feel privileged to have served as your Deputy. I love this town in which my wife and I chose to live and raise our family 22 years ago and thank the many volunteers, past and present Township Council members, and past and present Township staff whose tireless efforts have truly created, in the words of former Mayor Ed Tamm, “a place where life is worth living.”

The Council-Manager Plan E of the Optional Municipal Charter Law, under which our Township is governed, vests in the Township Council not only all legislative powers and the determination of all policy matters, but also charges it with the responsibility to appoint the Township Manager, our Chief Executive and Administrative Officer. This responsibility is not taken lightly as the Manager oversees all of the various departments and day to day activities of the township. With the best interests of Randolph Township and its’ residents in mind, it is a top Council priority for 2014. The search process began nearly a year in advance of our Manager’s retirement with the establishment of a search committee by Councilman MacArthur, as Mayor, comprised of him, Councilwoman Carey, and myself. A search firm was retained to assist with the recruitment effort and I am happy to report that we have received several quality candidate resumes. The search process will proceed with interviews during the next six weeks and will culminate with the Council’s goal of announcing an appointment toward the end of February.

We seek a strong, skilled leader capable of administering our service based municipal organization of 121 full time and 42 part time employees to best serve the nearly 26,000 residents in our community of approximately 22 square miles; a professional with local government experience and expertise who not only will continue the sound fiscal strategies that have earned our township a rare triple A bond rating, but will also possess the ability to manage ongoing and future infrastructure and capital improvement projects so critical to our town. We are interested in an individual who will preserve Randolph’s reputation as a highly desirable community in which to live, and preferably one who will choose to make Randolph their home, and thereby, become a stakeholder in Randolph’s future.

Certainly, with the departure of both our Manager and Chief Financial Officer, 2014 will be a year of transition. Fortunately, the township hired a highly qualified CFO in Darren Maloney several weeks ago providing him the opportunity to familiarize himself with his surroundings, get to know his staff, and work with Mike Soccio prior to his retirement. We welcome Darren and wish him a long tenure in Randolph. Change in personnel is inevitable and there surely will be some bumps in the road, but I have the utmost confidence that our team of high quality department heads, township staff, and this Council will rise to the occasion and work together in an effort to make the transition to new leadership as seamless as possible.

We optimistically look forward to 2014 and increased economic activity in Randolph with anticipation of several new developments and ongoing infrastructure improvements that will pave the way for future development and re-development. We should see the long awaited County alignment of West Hanover Avenue with Brookside Road at Sussex Turnpike, a signalized intersection, and associated improvements further west on Sussex begin by mid to late summer, bringing some relief to that traffic congested area. As directed by the Morris County Board of Taxation, this year our township will embark on a two year project to update our tax maps, followed by a town wide revaluation that must be completed by the fall of 2016 with updated property assessments in place for the 2017 tax year. Financially, this is a significant project for which we must begin to plan as part of our 2014 municipal budget.

Earlier I mentioned that I love this town. I do so for several reasons. We have so many committed and passionate volunteers, who truly help make this town tick, willing to dedicate their time and expertise to our various advisory committees, commissions, and boards; our senior citizen services, recreation programs, civic organizations, and animal pound; and of course the members of our first aid squad and four fire department battalions, who are always there to answer in our times of need.

Our service based organization provides services beyond those deemed essential ranging from public safety and emergency management to recreation to infrastructure maintenance and repair, leaf and branch pick up, to animal control, low cost immunizations and more. This year we look to continue to enhance the efficiency of these services by combining construction departments with neighboring Roxbury.

Without question our parks, trails, recreational facilities and open space are second to none and we must continue to be good stewards of these valuable assets. It is with these assets in mind and the fact that people today are more in tune with the importance of fitness and a healthy balanced lifestyle that, as Mayor, this year I would like to promote the Mayor’s Wellness Program in Randolph Township. Whether you are a serious athlete or one who simply prefers a casual walk, our public facilities have much to offer. There is much available in our business community as well. Our town is home to several fitness facilities, spas, wellness centers, rehabilitation practices, and places where healthy foods are found. This year I would like to hold a series of wellness fairs at our Community Center and/or Municipal Building as well as host walks on our incredible trails. I invite you all to join me and take part in a healthier 2014.

I continue to be thankful for the opportunity to serve my community and all of our residents. I look forward to working with my fellow colleagues in 2014, all of whom I admire and respect, and will continue to be guided in my decision making by what is in the best interest of Randolph Township.

Deputy Mayor Joanne Veech:

Good afternoon and happy New Year. Thank you very much for coming. I too thank my husband Skip and sons, Billy and Blaise, for their continued support and understanding. Being a public servant takes time, effort and focus. All of which I greatly enjoy and feel blessed to have the ability to serve this great township and its citizens.

Today, I will be recapping both anticipated development projects, as well as our township’s expanding areas of Open Space. I have compiled this list from conversations with township staff reflecting our town’s best projections. There’s an amazing balance between the two that we in Randolph enjoy—smart development and open space.

Let me begin with development projects that will add ratables to our tax base include:

  1. “Brightview” 125 independent and assisted living units on Quaker Church. They plan to break ground this winter and estimate 15 month’s to compete.
  2. “Kushner” or the project known as “Kensington Square” resulted from negotiations involving the developer, neighbors and the township. They plan to build 105 luxury condominium units off of Brookside with 30% first-floor master bedrooms. They will be going in front of the Planning Board this winter and we anticipate a ground breaking by summer.
  3. The Grecco property also referred to as the “Shoppes at Randolph” on Route 10 with 80,000 square feet of retail space is still searching for the right anchor store tenant and will begin construction once a lease is signed.
  4. “The Performance Ford dealership” is proposing to expand across Route 10.
  5. “The Heller site” (aka “Mark’s Corner”) on the corner of Sussex Turnpike and Hanover won’t go to lease until the county begins construction on the realignment and widening of Sussex Turnpike, planned to take place this coming summer. The owner hopes to break ground while the county begins work on the roadway. The long awaited County efforts will allow for re-development of the center of Mount Freedom.
  6. “The Randolph Diner“ The new commercial center, “Randolph Commons,” behind the Diner, was the first phase of redevelopment for this highly visible Route 10 corner. Phase 2, the reconstruction and expansion of the Diner building, is scheduled to undergo construction in 2014.
  7. A new Walgreens adjacent to the Diner on Route 10 is beginning the Planning Board review process at this time. AND finally
  8. “Heritage 55” Thirty one, age restricted homes on Calais Road; this project has cleared a number of hurdles involving the developer, SJC, and the Rosenfarbs, the original owners of the site. We’re hoping they will resolve outstanding issues in the next few months, to allow this long stalled project to move forward in 2014.

Another development of sorts benefiting our township and its residents is the construction of a new point of access in and out of the County College of Morris on Route 10. While only an east bound in and west bound out flow of traffic will be provided by the new entrance, the direct highway access will provide significant relief for Route 10 intersections at Center Grove and Dover Chester, especially during rush hours.

Having said all that, Randolph’s development as a whole is nearing its end. On the other end of the spectrum that creates this wonderful balance is over 3500 acres of open space:

  • Over 1500 acres of township-owned opened space
  • (we have an additional 8.5 acres to be transferred to the township by Toll Brothers—upon completion of the “Ridge at Randolph” a new development of homes off Pierson Hill)
  • 734 acres of County park land (James Andrews County Park & Hedden County Park)
  • 532 acres owned by MCMUA (protecting the Alamatong Wellfields, Randolph’s source of public water)
  • over 330 acres of conservation easements (to the township—most notably the Clyde Potts Watershed and Reservoir lands)
  • 159 acres of preserved land—privately owned—associated with the Heritage 55 development initiative on Calais
  • 150 acres of County preserved farmland including the Knothe Farm, Sun High Orchards and the Miller Farm
  • 16 acres of Mendham Township owned—preserved open space (part of Mendham’s Seeing Eye property)
  • 15 acres of State preserved open space (the Black River Preserve)
  • And our latest addition of 90 acres on Calais Road, known as the “90 Acres”—which may become home to the “Randolph Community Garden.”
  • That’s over 3500 acres of open space with 20 miles of trails!

As a township today we should be very proud of our administration, past Council members and citizens for ensuring “smart” development, while keeping open space a priority. As I said, we in Randolph enjoy a very nice balance between the two.

In closing, thank you for allowing me to serve with my fellow colleagues, and all the wonderful volunteers that give of their time, thank you for your dedication and loyalty.

Councilwoman Christine Carey:

Good afternoon and Happy New Year to all of our families and friends who were so kind to come and spend some of their holiday with us today.

First of all, I would like to acknowledge the truly outstanding job that Tom MacArthur has done this past year serving as Mayor of Randolph and I want to thank him personally for setting such a strong example of what good leadership looks like for me in my first year on the town council.

I would also like to congratulate our new Mayor, Jim Loveys, and Deputy Mayor, Joanne Veech. I wish you both the best this year in your new roles and I’m here to assist and support you in any and every way.

Also, I’d like to recognize the fine work that both Mike Soccio and John Lovell have been doing in Randolph for many, many years and mention how much we will miss their wisdom and guidance when they retire later this year.

I would like to highlight 2 key areas of focus for me in 2014 on the Council. First, I will continue serving on the search committee that began its work last year and will finish with the appointment of a new town manager prior to John’s departure. John had given the Council plenty of notice that he would be retiring this year and the Council took advantage of that by establishing a search committee and beginning the search process early. We have been working for several months to identify the best person to be the next Town Manager for Randolph.

Also, this year, I will be serving as the Council Liaison to the Randolph Library Board of Trustees. I actually served as a trustee on the library board in the past, having been appointed as a community volunteer by the Council several years ago. I’m looking forward to again working on the library board to contribute to its continued success. Even though it is already established as a vital part of the Randolph community, I look forward to working with the Board of Trustees to make it even better.

I am very much looking forward to my second year on the Town Council.

Councilman Michael Guadagno:

I would like to thank Tom for his service as Mayor. He did an excellent job as Mayor. I would like to also congratulate our new Mayor, Jim Loveys and Deputy Mayor Joanne Veech. I know they will do an excellent job this year.

My task this next year is to be in charge of the infrastructure of Randolph Township, not just the town infrastructure of sewer and water and roads, but I’m also very interested in the gas expansion into Randolph Township.

Councilman Roman Hirniak:

Ladies and Gentlemen, good afternoon.

There’s an Editorial in the January 2nd Randolph Reporter, titled “A Time of Change in Randolph”

In it, the Editor writes that:

“The coming year could potentially be a tough one for the mayor and council in Randolph Township”

He speaks about “fiscal constraints, the challenges of budgeting in this day and age, the retirements of John Lovell and Mike Soccio and the stepping-down of my colleague Tom MacArthur, to pursue elected office in New Jersey’s 3rd Congressional District.”

After identifying these changes, he writes that “In our view, however, the Township Council is well prepared.”

He goes on to describe the various efforts the Council is undertaking in light of these challenges and opines that these efforts are “good, solid and prudent moves for a very responsible local government.”

He concludes the piece by noting that notwithstanding all of these upcoming tests, “Randolph Township officials have done a fantastic job” in preparing for them.

I happen to strongly agree with the Editor. All of us, inclusive of our Township employees, volunteers and professionals will continue to face these changes head-on, will continue to overcome these and future challenges and, rest assured, Randolph will continue to be where life is worth living in the year 2014.

John and Mike you will be missed more than perhaps you even realize. Please know that you’re not allowed to retire until I get all of your contact numbers and a promise that you’ll take my calls, regardless of the hour.

I’d like to thank outgoing Mayor Tom MacArthur for a truly remarkable year of rowing the laboring oar on the Council. Tom, you’ve indeed set the bar high. And yet, I look forward to saying a year from now that Jim has exceeded even those standards that you’ve left us with.

Lastly, I’d like to congratulate all of the appointees to our boards and committees and in particular, the new Student Liaison to the Parks Advisory Committee. Alex, your family is incredibly proud of you.

Councilman Thomas MacArthur:

It has been one of the greatest privileges of my life to serve as Mayor of Randolph. I appreciate all the volunteers who give so much to making Randolph a great community in which to live and work. I also want to thank John Lovell and his staff, and my Council colleagues, who have added great happiness to the privilege of serving.

The Council accomplished some important goals in 2013. Among the most important of these was the renewal of Randolph’s AAA bond rating, putting us among only 18 municipalities in NJ and 213 in the entire U.S. to hold this rating. This seal of approval on Randolph’s fiscal management makes conducting township business easier and less costly. Randolph also has one of the lowest tax rates in Morris County; only 6 of 39 towns have a lower municipal tax per person. And the quality of life in Randolph is second to none!

The Township made important investments in public safety in 2013. I see Police Chief, David Stokoe and Fire Chief, Kevin Dunn here today. Both run superb organizations, dedicated to the public good. The police department in particular, made important improvements with the appointment of a new Chief and two new Lieutenants, and the hiring of numerous officers to bring the force closer to full capacity. In addition, Randolph’s Emergency Response Protocols were overhauled, which was a joint effort of the staff and the Council’s Emergency Preparedness Subcommittee under the leadership of Deputy Mayor, Joanne Veech. Generators, warming centers, electronic signs and the Swiftreach communications system were added, all of which will enhance the Township’s response to future events.

Lastly, John Lovell in his comments gave me a measure of credit for the 90 acres of open space along Calais Road, acquired at no cost to Randolph taxpayers. I am very proud of helping to get this accomplished and want to thank John Lovell and Township Attorney, Ed Buzak, both of whom were also deeply involved in bringing it to fruition.

I have three primary hopes for Randolph in 2014. The first is that the Council continues the fiscal prudence that has served the Township so well. Nothing should be done which compromises Randolph’s AAA bond rating. Expenses must be controlled so the tax per person can remain among the lowest in the County.

John Lovell’s retirement at the end of March means Randolph will need a new leader. The Council must recruit the best manager possible—someone who can serve the Township for many years to come. John has been an exceptional leader and has built a great team. I’m confident Randolph won’t miss a beat.

Lastly, the 90 acres creates all sorts of new possibilities to enhance the quality of life for Randolph’s 26,000 residents. Personally, I hope that 3 years from now there is a public pool at the site. This would not only foster community relationships, but would also enhance property values. Some may object as in the past, but nothing great is achieved when you hold back.

I wish Jim and Joanne every success in their new roles. They have all my support and I know they will serve well. I wish each of you a happy, healthy and prosperous new year.

Councilman Allen Napoliello:

Good afternoon,

Last year was a very successful one as we were able to accomplish much as you have already heard today.

I personally want to thank Councilman MacArthur for the fine job he did as Mayor. Good job Mr. Mayor.

I also want to congratulate our new Mayor and Deputy Mayor, Jim Loveys and Joanne Veech who will serve as our 2014 leaders. I know both of them very well and I am sure that they will do outstanding jobs in their new positions. They will have my complete support.

We are very fortunate to have such dedicated people on our Town Council. I know they will do outstanding jobs because they are very intelligent, dedicated individuals.

I would be remiss if I didn’t say something about two of the individuals who will retire this year, Town Manager, John Lovell and CFO, Mike Soccio. As a long standing member of this Council, I have spent many years with both of them and I can attest to the fact that they always made decisions for the benefit of the residents. Randolph is one of eighteen (out of 566) municipalities in NJ to have a Triple A Bond rating and it is primarily because of these two gentlemen.

They have helped to make our town the wonderful place to live in that it is. They will surely be missed. I wish them nothing but the best in their retirement. They have earned it.

This year I will be liaison to the Board of Health, Municipal Alliance Committee and I will also be taking Councilman MacArthur’s place on the Manager Selection Committee. Thank you for taking the time to be here today. I wish you all a very happy and prosperous New Year.

Mr. O’Mara was a past Councilman, was very active in the Recreation Department over the years (especially soccer), and was currently the Chairperson for the Environmental Commission. Mayor Loveys stated that Mr. O’Mara would be missed by our community.

COUNCIL CONSENT AGENDA RESOLUTIONS

A Resolution of the Township of Randolph Authorizing the Award of a Professional Services Agreement to the Buzak Law Group for Township Attorney Services for the 2014 Calendar Year

WHEREAS, the Township of Randolph (“Township”) requires Township Attorney services for the 2014 calendar year; and

WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services will exceed $17,500; and

WHEREAS, the Township has agreed to retain The Buzak Law Group located at 150 River Rd, Ste N-4, Montville, NJ 07045 to provide the necessary Township Attorney services for a total amount not to exceed $292,200 ($145 per hour) plus $145 per hour for litigation and escrow appeals; and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

WHEREAS, the contract with The Buzak Law Group is for a total amount not to exceed $292,200 ($145 per hour) plus $145 per hour for litigation and escrow appeals and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and

WHEREAS, in accordance with the Anti Pay-to-Play Legislation, The Buzak Law Group has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification as required; and

WHEREAS, The Buzak Law Group has also submitted to the Township a New Jersey Business Registration Certificate, as required; and

WHEREAS, there are funds available for the retention of such professional services; and

WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.

NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:

  1. The Township hereby hires, employs and retains The Buzak Law Group having an office at 150 River Rd, Ste N-4, Montville, NJ 07045 to provide Township Attorney services for the 2014 calendar year.
  2. The Buzak Law Group shall be compensated for a total contract amount not to exceed $292,200 ($145 per hour) plus $145 per hour for litigation and escrow appeals.
  3. The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
  4. The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27.
  5. The Mayor and Township Clerk, together with all appropriate officers, employees, professionals and staff of the Township are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.

WHEREAS, the Township of Randolph (“Township”) requires General Labor Counsel services for the 2014 calendar year; and

WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services may exceed $17,500; and

WHEREAS, the Township has agreed to retain Trimboli & Prusinowski located at 268 South St, Morristown, NJ 07960 to provide the necessary General Labor Counsel services for a total amount not to exceed $10,000 ($145 per hour for attorneys; $75 per hour for paralegals); and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

WHEREAS, the contract with Trimboli & Prusinowski is for a total amount not to exceed $10,000 ($145 per hour for attorneys; $75 per hour for paralegals) and therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) do not apply; and

WHEREAS, Trimboli & Prusinowski has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification should the dollar amount of their contract be amended during the 2014 calendar year and exceed $17,500 and the requirements of the Anti Pay-to-Play Legislation would then apply; and

WHEREAS, Trimboli & Prusinowski has also submitted to the Township a New Jersey Business Registration Certificate, as required; and

WHEREAS, there are funds available for the retention of such professional services; and

WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services will exceed $17,500; and

WHEREAS, the Township has agreed to retain Dorsey & Semrau (Fred Semrau) located at 714 Main St, PO Box 228, Boonton, NJ 07005 to provide the necessary Special Counsel for Tax Appeals services for a total amount not to exceed $19,000 plus a not to exceed amount of $2,400 ($600 per day) for trials; and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

WHEREAS, the contract with Dorsey & Semrau is for a total amount not to exceed $19,000 plus a not to exceed amount of $2,400 ($600 per day) for trials and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and

WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services may exceed $17,500; and

WHEREAS, the Township has agreed to retain Murphy, McKeon PC (Anthony M. Bucco) located at 51 Route 23 South, PO Box 70, Riverdale, NJ 07457 to provide the necessary Special Counsel for Negotiations and Preparation of Development Agreements services for a total amount not to exceed $15,000 ($145 per hour); and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

WHEREAS, the contract with Murphy, McKeon PC is for a total amount not to exceed $15,000 ($145 per hour) and therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) do not apply; and

WHEREAS, the fees are as noted in the attached proposal; and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

  2. Saint Clare’s shall be compensated for a total contract amount not to exceed $8,500.
  3. The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
  4. The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27.

A Resolution of the Township of Randolph Authorizing the Award of a Professional Services Agreement to Appraisal Consultant Corp. for Tax Appeals Appraisers Services for the 2014 Calendar Year

WHEREAS, the Township of Randolph (“Township”) requires Tax Appeals Appraisers services for the 2014 calendar year; and

WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services will exceed $17,500; and

WHEREAS, the Township has agreed to retain Appraisal Consultant Corp. located at Presidential Center, Ste 200, 293 Eisenhower Pkwy, Livingston, NJ 07039 to provide the necessary Tax Appeals Appraisers services for a total amount not to exceed $30,000 ($160 per hour); and

WHEREAS, the anticipated term of this contract is for the 2014 calendar year; and

WHEREAS, the contract with Appraisal Consultant Corp. is for a total amount not to exceed $30,000 ($160 per hour) and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and

WHEREAS, in accordance with the Anti Pay-to-Play Legislation, Appraisal Consultant Corp. has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification as required; and

WHEREAS, Appraisal Consultant Corp. has also submitted to the Township a New Jersey Business Registration Certificate, as required; and WHEREAS, there are funds available for the retention of such professional services; and

WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.

NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:

WHEREAS, the Township of Randolph adopted a Cash Management Plan on April 2, 1997; and

WHEREAS, the State of New Jersey amended the statutory provisions governing cash management plans and permitted investments; and

WHEREAS, the Director of Finance has amended the Cash Management Plan of the Township of Randolph to incorporate these provisions.

NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Cash Management Plan as amended be approved.

BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, that Pamela Vasta be appointed Certifying Officer and Darren Maloney be appointed as Supervisor for the Township’s Police and Firemen’s Retirement System and the Public Employees’ Retirement System for the year 2014.

Fees for Agendas

WHEREAS, N.J.S.A. 10:4-6 et seq., known as the “Open Public Meetings Act,” requires notices to be given of meetings of public bodies, as defined and prescribed in said statute, and further provides for the fixing of a reasonable charge to be paid by any person requesting such notices.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, as follows:

  1. The Randolph Reporter and the Morris County Daily Record, as the newspapers having the greatest likelihood of informing the public of meetings to be held by the Township Council of the Township of Randolph, are hereby designated as the newspapers to receive notices of all meetings of this Township Council for the calendar year 2014 as required by the “Open Public Meetings Act.”
  2. The bulletin board located immediately adjacent to the Municipal Clerk’s Office in the main hallway of the Randolph Municipal Building shall be the place for posting of all notices of meetings of the Township Council during the 2014 calendar year.
  3. The sum of twenty ($20) dollars is hereby fixed as the fee to be paid by any person requesting that notices of meetings of the Township Council of the Township of Randolph during the 2014 calendar year be mailed to such person; but, as provided in N.J.S.A. 40:4-19, no charge shall be made to any newspaper requesting the mailing of such notices to its business office.
  4. Certified copies of this resolution shall be mailed by the Clerk of the Township to the Randolph Reporter and the Morris County Daily Record and a certified copy shall be filed with the Clerk of the Township.

BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, that the Randolph Reporter be designated as the Official Newspaper for the Township of Randolph for the year 2014 and the Morris County Daily Record is the “backup” Official Designated Newspaper and are hereby designated as the newspapers to receive legal notices for the Township of Randolph for the calendar year 2014.

Rate of Interest on Delinquent Taxes and Delinquent Water and Sewer

WHEREAS, N.J.S.A. 54:4-67 has been amended to permit the charging of 8% of the first $1,500.00 of delinquent taxes and assessments, and 18% on any amount in excess of $1,500.00; and

WHEREAS, N.J.S.A. 54 also permits the charging of 8% interest on the first $1,500.00 of delinquent water and sewer charges and 18% interest on any amount in excess of $1,500.00; and

WHEREAS, the delinquent charges on finance agreements is 1 1/2 % per month in each installment in default for thirty (30) days.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, as follows:

  1. The rate of interest to be charged for nonpayment of taxes, assessments, water and sewer charges, on or before the due date shall be 8% per annum for the first $1,500.00 and 18% on any amount in excess of $1,500.00.
  2. No interest shall be charged if payment of any taxes and assessments is made within ten (10) calendar days of due date.
  3. The rate of interest to be charged on delinquent finance agreements is 1 1/2 % per month in each installment in default for thirty (30) days.
  4. This resolution shall take effect on January 1, 2014.

BE IT RESOLVED by the Council of Randolph Township in the County of Morris and State of New Jersey, that Darren Maloney is hereby appointed as the Fund Commissioner to the Morris County Municipal Joint Insurance Fund.

State of New Jersey Department of Environmental Protection Green Acres Program Enabling Resolution No. 29-14

WHEREAS, the New Jersey Department of Environmental Protection, Green Acres Program (“State”), provides loans and/or grants to municipal and county governments and grants to nonprofit organizations for assistance in the acquisition and development of lands for outdoor recreation and conservation purposes; and

WHEREAS, the Township of Randolph has previously obtained a loan of $2,250,000 and a grant of $4,250,000 from the State to fund the following project (s):

1432-95-011: Randolph Acquisition Program

WHEREAS, the State and the Township of Randolph intends to increase Green Acres funding by $500,000; and

WHEREAS, the applicant is willing to use the State’s funds in accordance with its rules, regulations and applicable statutes, and is willing to enter into an Amendment of the Agreement with the State for the above-named project;

NOW, THEREFORE, BE IT RESOLVED by the Randolph Township Council that:

  1. The Township Manager of the above named body or board is hereby authorized to execute an agreement and any amendment thereto with the State known as Randolph Acquisition Program, and;
  2. The applicant has its matching share of the project, if a match is required, in the amount of $4,000,000.
  3. In the event the State’s funds are less than the total project cost specified above, the applicant has the balance of funding necessary to complete the project, and;
  4. The applicant agrees to comply with all applicable federal, state, and local laws, rules and regulations in its performance of the project.
  5. This resolution shall take effect immediately.

Resolution Accepting Services Agreement between the Town of Dover and Randolph Township for Animal Control Services

WHEREAS, the Town of Dover wishes to obtain Animal Control Services from the Township of Randolph.

WHEREAS, both parties agree to abide by the provisions set forth in the Services Agreement dated January 1, 2014.

NOW, THEREFORE, BE IT RESOLVED that the Mayor and Council of the Township of Randolph do hereby approve the Contract with the Town of Dover.

BE IT FURTHER RESOLVED that the Mayor is hereby authorized to sign the contract.

A Resolution of the Township of Randolph Amending the Award of a Professional Services Agreement to Piercon Solutions LLC for Radio Frequency (RF) Consulting Services for the One Year Period of 3/21/13-3/20/14 for Additional Services Requested

WHEREAS, the Township of Randolph (“Township”) previously awarded a Professional Services Agreement via R 113-13 on March 21, 2013 to PierCon Solutions LLC for radio frequency (RF) consulting services for a not to exceed amount of $10,000 for the one period of March 21, 2013 through March 20, 2014; and

WHEREAS, additional testing was requested by the Township Council; and

WHEREAS, the additional testing cost should not exceed $2,000

NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, that the previously awarded Professional Services Agreement to PierCon Solutions LLC for radio frequency (RF) consulting services be increased by $2,000 from $10,000 for a new not to exceed amount of $12,000 for the one period of March 21, 2013 through March 20, 2014.

Resolution Authorizing the Rejection and Rescission of a Portion of MCCPC Contract #11 (Motor Oils & Miscellaneous Lubricants)

WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) sought bids for Contract #11 (Motor Oils & Miscellaneous Lubricants); and

WHEREAS, bids had been advertised and received on October 1, 2013, in accordance with Local Public Contracts Law; and

WHEREAS, the Township awarded Category M (Maxi-Lube, Ultra Synthetic Blend Extended Life Marine Grease) of Contract #11 (Motor Oils & Miscellaneous Lubricants) to Chemsearch as the lowest responsive and responsible bidder on December 5, 2013; and

WHEREAS, a copy of the Notification of Award and two contracts were subsequently sent to Chemsearch for signature; and

WHEREAS, while reviewing the Notification of Award, Chemsearch realized that an error was made by them in the completion of their bid proposal whereby they submitted pricing for grease by the pound rather than by the gallon as specified on the bid proposal; and

WHEREAS, this error renders the bid proposal submitted by Chemsearch non-responsive and it must therefore be rejected and rescinded; and

WHEREAS, there were no other bidders for Category M (Maxi-Lube, Ultra Synthetic Blend Extended Life Marine Grease) of Contract #11 (Motor Oils & Miscellaneous Lubricants).

NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Township on behalf of the MCCPC hereby authorizes the rejection and rescission of Category M (Maxi-Lube, Ultra Synthetic Blend Extended Life Marine Grease) of Contract #11 (Motor Oils & Miscellaneous Lubricants) from Chemsearch.
