A. OPENING OF REORGANIZATION MEETING

1. Call to Order

The annual Reorganization Meeting of the Randolph Township Council was called to order at 11:00 a.m. by Councilman Hirniak. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location, and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the bulletin board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on December 2, 2016 by emailing them the annual resolution adopted by the Council on December 1, 2016. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph on December 8, 2016, and the Daily Record on December 6, 2016.

2. Pledge of Allegiance

Township Clerk Donna Luciani led the Pledge of Allegiance.

Mayor Christine Carey was sworn in by her daughter Kelsey Webb, and her husband Frank Brenner held the bible.

G. RECOGNIZE FORMER MAYOR ROMAN HIRNIAK

Manager Mountain explained that the past year was a busy and productive year in which Mayor Hirniak provided outstanding leadership to the Council, and great support for the entire municipal organization. The Manager personally appreciated Mayor Hirniak’s guidance and support through the various projects and initiatives. He commended Mayor Hirniak’s speaking abilities, his attendance at numerous activities and events, his responsiveness to residents, and his passion for engaging with young people. Manager Mountain explained the projects which took place over the past year, including the passing of the Parks and Recreation Master Plan in which Mayor Hirniak participated in the sub-committee that provided the steering for the report. The former Mayor was also involved in establishing a plan for improvements to the trails. Manager Mountain thanked Mayor Hirniak on behalf of the entire organization.

On behalf of the Council, Mayor Carey stated that it has been a pleasure working with Roman Hirniak over the past four years. She commended him for his commitment to the citizens of Randolph, and thanked him for his service. Mayor Carey presented former Roman Hirniak with a clock and a plaque.

Roman Hirniak thanked everyone for their kind words and their support. Roman recognized and thanked Manager Mountain for his leadership, Township Clerk Donna Luciani, Chief David Stokoe and his staff, Chief Steve Cohrs, Deputy Chief Moschella, Township Attorney Ed Buzak, members of the Chamber of Commerce, the senior citizen members, and members from various clubs and civic organizations. He congratulated Mayor Carey and Deputy Mayor Forstenhausler, as well as the other members of the Township Council, and newest member, Councilman Tkacs. He wished the attendees all the best for 2017.

H. COMMENTS BY MAYOR AND COUNCIL

Councilman Mike Guadagno:

This year I will continue with the DPW road department; we made great progress in fixing our roads this year. We also expanded our water and sewer lines. We have a ten year plan for the water line, which was approved this year, and for sewers. We are trying to get all the citizens we can connected to the sewer and water lines.

We are replacing some of the timber walls; that is a five year project.

Our telecommunications are increasing; we are still looking into a communications hub behind town hall, and to increase more of the G4 in the town itself.

I am trying to get the gas companies to install more gas lines; it’s a challenge, but we are making progress.

My new duty this year is the Trail Commission. I will be working to improve the trails.

Councilman Jim Loveys:

Good Morning.

I’d like to thank all of you for attending this morning and I wish everyone a belated happy, healthy, and safe New Year.

Special thanks to my wife Karen. My children, James and Abby planned to attend, but are visiting Karen’s mom at the hospital; she is in my thoughts and prayers this morning. My daughters, Chelsea and Anna, are unable to attend, but I know they are here in spirit. A commitment to public service places demands on family life and, from the bottom of my heart, I thank you for your continued support and understanding.

I congratulate Councilwomen Joanne Veech and Christine Carey, and Councilman Lance Tkacs, on your victories in this past year’s election and offer a special thanks to outgoing Mayor Roman Hirniak, for the leadership you provided, the energy you brought to the office, and the personal sacrifice made representing of our township and our Council. Thank you also for your four years of service to the Township Council and the residents of Randolph. I enjoyed working with you. You will be missed.

Lastly, I congratulate my colleagues, Mayor Christine Carey and Deputy Mayor Mark Forstenhausler on your nominations. It’s an exciting day for you both. I have full faith in your abilities to lead this Council through the issues we’ll face in 2017.

I look forward to returning this year as Council liaison to our Municipal Alliance Committee, which was established to combat alcoholism and drug abuse in our community. Faced with a nationwide opiate drug and heroin epidemic, from which Randolph is not immune, the MAC hopes to assist with a forum for education and discussion this spring. When plans are finalized, the date will be announced and advertised. I strongly encourage all to attend.

I will also serve as Council liaison to the Wildlife Management Advisory Committee. Originally formed to address issues related to the overpopulation of deer in the township, the committee was appropriately named as it also keeps the Council abreast of other wildlife concerns in our community. The committee continues to work with our Parks and Recreation Department on the implementation of our public land hunts as well as facilitating those on private properties.

Lastly, I will continue to serve on the Facilities Work Group together with Mayor Carey and Deputy Mayor Forstenhausler. Our township owns and maintains seven public facilities, and leases and maintains one, out of which various services and program opportunities are offered to our residents. Our conscientious and competent township Clerk, Donna Luciani, also wears the hat of Buildings and Grounds Supervisor. With the best interests of Randolph taxpayers in mind, she coordinates and oversees the needed maintenance and renovation work, much of which is performed by a dedicated team of township employees. Our Facilities Work Group will continue to coordinate with our Township Manager and staff in order to plan for and prioritize our facility’s future capital improvement needs.

I continue to be thankful and appreciative for the opportunity to serve my community and all of our residents. I look forward to working with my fellow colleagues, our Township Manager, and township staff in 2017, all of whom I admire and respect, and will continue to be guided in my decision making by what is in the best interest of Randolph Township.

Councilman Allen Napoliello:

Good Morning.

Last year was a very successful one as much was accomplished by the Council.

Several miles of our roads were repaved and paid for with cash, not bonded debt, avoiding years of interest payments. We replaced many retaining walls and moved forward on a new cell tower behind town hall. We also saw the completion of the extensive work on Sussex Turnpike which included the long awaited re-routing of traffic from West Hanover Ave. onto Sussex Tpk. Also, we oversaw the amending of several master plans which addressed Randolph’s zoning facilities, as well as our Parks and Recreation programs.

I personally want to thank Councilman Roman Hirniak for the fine job he did as Mayor. In addition to running all council meetings, he could be found at all ribbon cuttings for new businesses, and at many scouting events throughout the year.

I also want to congratulate our new Mayor Chris Carey and new Deputy Mayor Mark Forstenhausler who will serve as our 2016 leaders. They will have my support.

Last year I was Council liaison to the Board of Health, and the Recreation committee. I also served as the President of the Morris County League of Municipalities, as well as the League of Municipalities Legislative committee which meets in Trenton.

The Board of Health meets monthly with the township’s Health Director. The board is comprised of the Health Director, three doctors, the former Randolph Animal Control Officer, three other residents, and a student member.

The Board of Health provides male and female cancer screenings, blood pressure screenings, Chem. 23 blood profiles, flu shots, and curbside recycling. They oversee inspections of restaurant facilities in town, to see that they are clean and that the food they serve is healthy.

The Recreation Committee oversees all recreational sports and facilities in the township. This affords residents from seven years old on up to our senior citizens to participate on recreational teams throughout the year.

This year I will continue to be liaison to the Board of Health. I will also continue to be a member of the League of Municipalities and its Morris County Legislative Committee.

I will also be liaison to the Traffic Committee. I look forward to another very successful year for Randolph.

Councilman Lance Tkacs:

Good Morning.

I would also like to thank everyone for being here this morning. It is impressive to see the amount of people that dedicate so much time and effort to making Randolph the beautiful community that it is.

To begin, I would like to thank my wife Kim, who has not only put up with me for 33 years, but has been an amazing support to me throughout the campaign process, and to our kids...Jessica, Erik, and Monica who each helped out and supported me as well.

I want to thank Chris and Joanne for asking me to join them on this journey, and also for having the confidence that I might make a good Councilman.

As most of you know, this was my first time running for an elected office, and as luck would have it, it was the first contested election in quite a while. Despite the hard work on knocking on doors, attending countless events, and participating in a debate, I actually enjoyed doing it. I met so many residents that loved living in Randolph. Some have been here for generations, and many new residents, excited to be raising their families in a new town. Even those with a concern or an issue were very respectful of the town in general.

I am looking forward to becoming acclimated to the Council activities, and I hope to quickly become a valuable member of the team. I congratulate Chris on becoming Mayor, and Mark for becoming Deputy Mayor. I know they will do a great job, and I stand ready to support them in any way I can.

I will continue to serve on the Planning Board (which I have served on for the last three years), and I will also serve on the Environmental and Landmark Committee.

Councilwoman Joanne Veech:

Thanks to my husband Skip for his support these past years. And congratulations to my running mates Chris and Lance.

This Council is strong and truly committed to serve Randolph Township. We work well with our County Freeholders, our Assemblymen Bucco and Carroll, our Senator Bucco, and our Congressman Frelinghuysen, all to benefit our residents and businesses, and we look forward to working with our newly elected Morris County Sheriff, James Gannon.

I look forward to the best year ahead with our new leadership, Chris and Mark; I have the utmost most respect for you both, and am delighted that you will be leading our Council in 2017. You are both smart, kind and caring people that have been in this town for over two decades and will probably be here for another two. You are not trying to make a name for yourself, using your office for any other reason than to serve this township. Thank you for agreeing to take on these leadership roles and congratulations.

This past year I served on the Wildlife Committee, the Parks Committee, the Randolph Township Master Plan Committee, the Parks and Recreation Master Plan Committee, the Mt Freedom Master Plan Committee, the Revaluation Committee, and the 90 Acres Council Committee—which is made up of three Council members that are focusing on the development of the 90 acre parcel of land on Calais Road that was donated to the township, and is destined to become a great passive outdoor park and community garden.

This coming year I’ll continue on the 90 Acres Council Committee, and the Parks Committee, as well as rejoining the Recreation Committee.

I’ve also been appointed to the Morris County CDRS (Community Development Revenue Sharing) Committee. This committee reviews grant applications from Morris County towns. The applications are for water main installations, drainage installations, ADA needs, low income housing needs, food pantry needs, etc.

Deputy Mayor Forstenhausler:

Happy New Year everyone, and thank you so much for taking time out of your day to attend our reorganization meeting today. I know that your time is precious and we appreciate you spending this morning with us.

I would like to thank Mayor Hirniak for his dedicated service to Randolph Township this past year. His energy and desire to represent this council and township at so many events was truly incredible. Thank you, Roman.

I would also like to thank my colleagues on the Council for their faith in me, and selecting me to serve as Deputy Mayor this year.

Congratulations to Mayor Carey, I am sure that she will do a great job this year, and I look forward to working with her as her Deputy.

Our Manager Steve Mountain has successfully steered us through another year. Thank you for your calm and experienced leadership. When the captain steers the ship correctly, we don’t even know that he is there. But if something goes wrong, everyone knows his name. Steve is that unsung captain.

Another behind the scenes person who is absolutely vital is our Township Clerk, Donna Luciani. My sincere thanks to Donna and her staff for all of their hard work this past year.

I also congratulate my good friend Anthony Moschella on his election to serve as our Fire Department Chief this year. In the past 23 years Tony and I have fought many fires together, and responded to more incidents than I can remember. He has always shown amazing dedication and concern for our residents’ lives and property. He will do an excellent job leading our Fire Department.

Likewise I am sure that Mike Vanadia will be a fantastic Deputy Fire Chief. His passion and knowledge will certainly help move our Fire Department forward, and he will work with and complement Chief Moschella in a very positive way.

Our Fire Department will also welcome a new fire engine for Company 3 in Mount Freedom this year, and I am confident that Tony and Mike will spend many productive hours placing that apparatus in service, and will plan to use it in the most effective manner.

I look forward to working on our new budget for 2017, and will do my best to minimize any tax increase, and to be a good steward of our tax dollars.

In addition to working closely with our Mayor, I will serve as liaison to the Board of Education. The greatest asset we have is our children, and I will help the Board in any way that I can.

I will continue to serve on several sub-committees, including trails, infrastructure and retaining walls.

I will also liaison to the Safety Committee, which reviews all accidents and injuries involving township employees, and seeks to take corrective actions to minimize future occurrences.

Our Volunteer Fire Department has again served our township well, and they, along with our Volunteer Rescue Squad have earned our thanks and appreciation. Thank You!

I have a very positive outlook for 2017, and will enjoy working with this council, township workers, and all of our volunteers to continue to keep Randolph a most desirable place to live, work and enjoy life. Thank you.

Mayor Christine Carey:

Good morning and Happy New Year.

It is such an honor and privilege to serve as the Mayor of Randolph in 2017. I am very excited about the upcoming year.

First, I really want to thank all of the family members, friends, staff, and elected officials who have come here today to be a part of our re-organization meeting. I especially want to thank my own family, especially my husband Frank for his support for the last 27 years.

I want to thank our outgoing mayor, Roman Hirniak, for doing such a great job this past year. Roman’s commitment to the residents of Randolph was evident throughout the year.

I would also like to thank my colleagues on the Council and Deputy Mayor, Forstenhausler, for their dedication and service to the Randolph community and for their support and guidance.

I would like to recognize our exceptional township staff and professionals, including our police department and Chief Stokoe—all led by our outstanding Town Manager, Steve Mountain. I cannot overstate what a great job Steve is doing. Also thanks to the many citizens who volunteer to serve the Randolph community. Included as volunteer citizens are our Rescue Squad and our all-volunteer fire department. Together these individuals do a terrific job keeping this town safe, keeping it running very smoothly and providing high-quality services to Randolph residents.

As Mayor this year, I will continue to serve as liaison to the Randolph Library Board of Trustees, where for the first time in 36 years, due to the upcoming retirement of Anita Freeman, we will be hiring a new Library Director.

I will also be serving on the Economic Development Committee, which serves as a liaison between the township and the Randolph business community. I look forward to working with our local businesses, especially those who are currently looking to develop projects in our community, including the Shoppes at Randolph, Mark’s Corner, A&P Plaza, and Kmart Plaza.

Along with Deputy Mayor Forstenhausler, I will be serving as liaison to both the Randolph Board of Education and the County College of Morris. These education institutions both play critical roles in the Randolph community and it is important that we continue to maintain close working relationships with them.

Looking forward, there are several key initiatives that I would like to briefly mention that will be a critical focus of the Council in 2017:

  1. Budget—Budget season is upon us. As always, our goal is to balance the short and long-term needs of the community while minimizing tax impact. Many people may not be aware, but Randolph is only one of a handful of the 565 municipalities in NJ that enjoys a AAA bond rating from both Standard and Poor and Moodys. The rating is an acknowledgement of the very strong financial position Randolph enjoys due to sound fiscal management.
  2. Recreation—One of the very attractive features about living in Randolph are our 600 acres of parks, 16 miles of trails and numerous recreation programs. After an 18-month process that included extensive community input, the Council in July adopted a Parks and Recreation Master Plan, which provides a vision for the future of the township’s park facilities and recreation programs. The Plan will be implemented over the next 10 years using funds from the Open Space Trust Fund with no new tax impact on residents. The initial phase of the Plan will now be kicked off with a final design plan and project specifications for the development of a new park facility on Calais Road. In conjunction with this, a trails master plan committee has been created and will be providing recommendations later this year about how to improve our trails system with new trail segments, trail enhancements, and better connectivity of existing trails.
  3. Mt. Freedom Plan—A process is underway to update the development plan for the Mount Freedom section of Randolph. Several issues had been delaying that plan but are now nearing completion. First, the Sussex Turnpike improvement project is now completed—as most people know, that was a County project, so I want to thank the Freeholders who are here today for their help with completing the successful project—and the sewer project that will provide the Mount Freedom section of Randolph with access to sewer services. We are anticipating recommendations for the Mount Freedom development plan by mid-year.
  4. Communications—While the township already provides many avenues for keeping residents informed, this year, we will expand these efforts further. A new cell tower will be constructed on the municipal property to improve communications in this critical area of schools, police, and township government. Moving us further into the 21st century, we will also be expanding our social media efforts with Facebook and Twitter.

These are just a few of the many projects that we will be working on in what looks to be a busy and exciting year for Randolph.

1. Swearing in of Judge

Judge Ira Cohen commented that he was honored to serve the community for a fifth term. He explained that Judge Cresitello worked in Randolph for nine years as the Municipal Prosecutor. Judge Ira Cohen was sworn in by Judge Cresitello, and his wife held the bible.

J. SWEARING IN OF FIRE CHIEF AND DEPUTY FIRE CHIEF

Manager Mountain recognized and thanked former Chief Steve Cohrs for his years of service. He added that Steve implemented a number of operational changes and policies to move the fire department forward. The Manager noted that Steve brought metrics into the analysis of fire service. Manager Mountain presented him with a plaque.

1. Fire Department Chief Anthony Moschella

Manager Mountain stated that Tony is a life-long resident of Randolph, and has been an active member of the Randolph Fire Department, Millbrook Company 2 for 24 years. He served as Company Officer for eight years, and Company Chief from 2003 to 2004. For the past 2 years Tony has served as Deputy Chief of the township fire department. He has been active with many company and department committees, he has served as Company Chaplin for over 10 years, and chair of the department’s Board of Engineers. Tony has been employed with the Jersey City Police Department for 20 years, and is assigned to the Specialized Emergency Services Unit and Bomb Squad. Tony and his wife Carolyn have three children, Anthony, Madison, and Dante. His son, Anthony, is a firefighter with Company 2, and is currently serving in the U.S. Army. Madison is a student at the University of West Virginia, and Dante is a student at Randolph High School and a Junior Firefighter with Millbrook Chemical Engine Company 2.

Chief Anthony Moschella introduced his wife, Carolyn, and children Madison and Dante. His son Anthony could not attend since he is serving in Kuwait. Chief Moschella was sworn in by his wife Carolyn; his children held the bible.

2. Fire Department Deputy Chief Michael Vanadia

Manager Mountain stated that Michael was born and raised in Randolph Township. He started as a Junior Firefighter with the Randolph Fire Department, Ironia Company Number 4. During his 15 years in the fire service, Michael has risen through the ranks, most recently having served as Battalion Chief of Station 4 from 2013 to 2016. Michael has served on various committees within the department, including the Training Committee, Board of Engineers, and several fire apparatus committees. He is also a certified fire instructor and works part-time at the Morris County Public Safety and Training Academy. Michael is a Penn State graduate, with a degree in Civil Engineering. He works full-time as a Project Manager, and Director of Operations at his family owned and operated residential construction company. Michael is married to Diana Vanadia, who assists on the Ironia Ladies Auxiliary.

Deputy Chief Vanadia introduced his wife, Diana, and his brother Mark. He was sworn in by his wife Diana, and his brother Mark held the bible.

WHEREAS, N.J.S.A. 54:4-67 has been amended to permit the charging of 8% of the first $1,500.00 of delinquent taxes and assessments, and 18% on any amount in excess of $1,500.00; and

WHEREAS, N.J.S.A. 54 also permits the charging of 8% interest on the first $1,500.00 of delinquent water and sewer charges and 18% interest on any amount in excess of $1,500.00; and

WHEREAS, the delinquent charges on finance agreements is 1 1/2 % per month in each installment in default for thirty (30) days.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, as follows:

  1. The rate of interest to be charged for nonpayment of taxes, assessments, water and sewer charges, on or before the due date shall be 8% per annum for the first $1,500.00 and 18% on any amount in excess of $1,500.00.
  2. No interest shall be charged if payment of any taxes and assessments is made within ten (10) calendar days of due date.
  3. The rate of interest to be charged on delinquent finance agreements is 1 1/2 % per month in each installment in default for thirty (30) days.
  4. This resolution shall take effect on January 2, 2017.

WHEREAS, N.J.S.A. 10:4-6 et seq., known as the “Open Public Meetings Act,” requires notices to be given of meetings of public bodies, as defined and prescribed in said statute, and further provides for the fixing of a reasonable charge to be paid by any person requesting such notices.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, as follows:

  1. The Randolph Reporter and the Morris County Daily Record, as the newspapers having the greatest likelihood of informing the public of meetings to be held by the Township Council of the Township of Randolph, are hereby designated as the newspapers to receive notices of all meetings of this Township Council for the calendar year 2017 as required by the “Open Public Meetings Act.”
  2. The bulletin board located immediately adjacent to the Council Chambers in the Randolph Municipal Building shall be the place for posting of all notices of meetings of the Township Council during the 2017 calendar year.
  3. The sum of twenty ($20) dollars is hereby fixed as the fee to be paid by any person requesting that notices of meetings of the Township Council of the Township of Randolph during the 2017 calendar year be mailed to such person; but, as provided in N.J.S.A. 40:4-19, no charge shall be made to any newspaper requesting the mailing of such notices to its business office.
  4. Certified copies of this resolution shall be mailed by the Clerk of the Township to the Randolph Reporter and the Morris County Daily Record and a certified copy shall be filed with the Clerk of the Township.

BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, that the Randolph Reporter be designated as the Official Newspaper for the Township of Randolph for the year 2017 and the Morris County Daily Record is the “backup” Official Designated Newspaper and are hereby designated as the newspapers to receive legal notices for the Township of Randolph for the calendar year 2017.

BE IT FURTHER RESOLVED, that tapintorandolph.net be designated as the Official Electronic Newspaper for the Township of Randolph for the year 2017 and is hereby designated as the electronic newspaper to receive legal notices for the Township of Randolph for the calendar year 2017.

7. Certifying Agent to the Police and Firemen Retirement System and Public Employees’ Retirement System

BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, that Pamela Vasta be appointed Certifying Officer and Darren Maloney be appointed as Supervisor for the Township’s Police and Firemen’s Retirement System and the Public Employees’ Retirement System for the year 2017.

8. Assessment Search Officer

BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, that the Tax Collector be appointed Assessment Search Officer of the Township of Randolph for the year 2017.

9. Cash Management Plan

WHEREAS, the Township of Randolph adopted a Cash Management Plan on April 2, 1997; and

WHEREAS, the State of New Jersey periodically amends the statutory provisions governing cash management plans and permitted investments; and

WHEREAS, the Director of Finance has amended the Cash Management Plan of the Township of Randolph to incorporate these provisions.

NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Cash Management Plan as amended be approved.

10. Award of a PSA Agreement to the Buzak Law Group for Township Attorney Services for 2017

WHEREAS, the Township of Randolph (“Township”) requires Township Attorney services for the 2017 calendar year; and

WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services will exceed $17,500; and

WHEREAS, the Township has agreed to retain The Buzak Law Group located at 150 River Rd, Ste N-4, Montville, NJ 07045 to provide the necessary Township Attorney services for a total amount not to exceed $303,000 ($25,250 per month) plus $165 per hour for litigation and escrow appeals; and

WHEREAS, the fees are as noted in the attached proposal; and

WHEREAS, the anticipated term of this contract is for the 2017 calendar year; and

WHEREAS, the contract with The Buzak Law Group is for a total amount not to exceed $303,000 ($25,250 per month) plus $165 per hour for litigation and escrow appeals and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and

WHEREAS, in accordance with the Anti Pay-to-Play Legislation, The Buzak Law Group has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification as required; and

WHEREAS, The Buzak Law Group has also submitted to the Township a New Jersey Business Registration Certificate, as required; and

WHEREAS, there are funds available for the retention of such professional services; and

WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.

NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:

WHEREAS, the Township of Randolph (“Township”) requires General Labor Counsel services for the 2017 calendar year; and

WHEREAS, the Township has agreed to retain Trimboli & Prusinowski located at 268 South St, Morristown, NJ 07960 to provide the necessary General Labor Counsel services for a total amount not to exceed $10,000; and

WHEREAS, the hourly rates for these services are Attorneys $145 and Paralegals $75, as noted in the attached proposal; and

WHEREAS, the anticipated term of this contract is for the 2017 calendar year; and

WHEREAS, the contract with Trimboli & Prusinowski is for a total amount not to exceed $10,000 and therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) do not apply; and

WHEREAS, the hourly rate for these services is $170 as noted in the attached proposal; and

WHEREAS, there are funds available for the retention of such professional services; and

WHEREAS, in the event Matthew R. Petracca is unable to attend a court session due to illness, an Order of the Superior Court to appear for trial on a Superior Court matter, vacation or any other reason, any other municipal prosecutor appointed by any other municipality within Morris County is authorized to serve in his stead as an alternate prosecutor.

WHEREAS, Garden State Laboratories has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification should the dollar amount of their contract be amended during the 2017 calendar year and exceed $17,500 and the requirements of the Anti Pay-to-Play Legislation would then apply; and

WHEREAS, Garden State Laboratories has also submitted to the Township a New Jersey Business Registration Certificate, as required; and

WHEREAS, there are funds available for the retention of such professional services; and

WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.

NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:

  1. The Township hereby hires, employs and retains Garden State Laboratories having an office at 410 Hillside Ave, Hillside, NJ 07205 to provide testing of samples collected for the Health Department for the 2017 calendar year.
  2. Garden State Laboratories shall be compensated for a total contract amount not to exceed $8,600 ($716.67/month).
  3. The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
  4. The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27 et seq.
  5. The Mayor and Township Clerk, together with all appropriate officers, employees, professionals and staff of the Township, are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.
  6. It is hereby directed that Notice of Award of this Contract shall be published once in the official designated newspaper of the Township within ten (10) days of the date hereof.
  7. This Resolution shall take effect immediately.

CERTIFICATION OF AVAILABILITY OF FUNDS

WHEREAS, 40A:4-19 Local Budget Act provides that (where any contracts, commitments or payments are to be made prior to the final adoption of the 2017 budget) temporary appropriations be made for purposes and amount required in the manner and time therein provided; and

WHEREAS, the date of this resolution is within the first thirty days of January, 2017; and

WHEREAS, the total general appropriations in the 2016 Budget, exclusive of any appropriations made for Interest and Principal of Debt, Capital Improvements and Public Assistance is the Sum of $33,725,954; and

WHEREAS, 26.25 percent of this total is the sum of $8,853,062.

24. Award of an Agreement to the Phoenix Consulting Group LLC for General Financial Service Assistance

WHEREAS, the Township of Randolph (“Township”) requires temporary general financial services due to the resignation of the Assistant Finance Director; and

WHEREAS, this service may be necessary until a new Assistant Finance Director can be hired; and

WHEREAS, the Township of Randolph has researched three consulting firms, Jersey Professional Management, The Canning Group and Phoenix Consulting Group, LLC, to provide temporary general financial services; and

WHEREAS, Jersey Professional Management and the Canning Group cannot provide the general financial services required by the Township of Randolph; and

WHEREAS, it has been determined that Phoenix Consulting Group, LLC, can provide the general finances services and is familiar with the finance systems currently used in the Township of Randolph; and

WHEREAS, the Township has agreed to retain Phoenix Consulting Group, LLC to provide the necessary general financial services for a total amount not to exceed $17,499; and

WHEREAS, the hourly rates for this service are up to $150 per hour; and

WHEREAS, there are funds available for the retention of such services; and

NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:

  1. The Township hereby hires, employs and retains Phoenix Consulting Group, LLC to provide general financial services.
  2. Phoenix Consulting Group, LLC. shall be compensated for a total contract amount not to exceed $17,499.
