A. OPENING OF REORGANIZATION MEETING
1. Call to Order
The annual Reorganization Meeting of the Randolph Township Council was called to order at 7:00 p.m. by Former Mayor Forstenhausler. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location, and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the bulletin board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on November 29, 2018 by emailing them the annual resolution adopted by the Council on November 1, 2018. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph, and the Daily Record on December 6, 2018.
2. Pledge of Allegiance
Former Mayor Forstenhausler led the Pledge of Allegiance.

Manager Mountain congratulated Councilman Loveys and Councilwoman Carey on their appointments as Deputy Mayor and Mayor.

G. RECOGNIZE FORMER MAYOR MARK H. FORSTENHAUSLER
Manager Mountain requested Mayor Loveys and Councilman Forstenhausler to join him at the podium. He stated:
- “2018 was another busy and productive Year for Randolph Township and through it all Mayor Forstenhausler provided tremendous leadership for the Council and support for the entire municipal organization.
- I personally have enjoyed working with Mark on a number of projects and initiatives and appreciate greatly the guidance and support he provided to me as Manager.
- As Mayor, Mark:
- Represented Randolph with class; Attending numerous events and functions as well as many critical meetings on behalf of the township.
- He always was prepared; ready to offer just the right words for the moment.
- He guided the town through some very difficult challenges including the storms last March that crippled the area.
- He demonstrated calm under pressure and great poise in the face of crisis.
- He exemplified Customer Service—responding to citizens 24/7.
- He offered tremendous stewardship over numerous initiatives including the naming and final design of Veterans Community Park now under construction on Calais Road, economic development outreach and support leading to new business development and redevelopment activities in town, and the continued improvement to the township’s facilities, infrastructure and recreation facilities.
- Above it all Mark exhibited a tremendous passion for public service and caring for the community and residents he served as Mayor.
On behalf of the entire organization—Thank you for your leadership, your time and above all else your support throughout the past year.”
Councilman Mark Forstenhausler
Mayor Loveys stated that on behalf of the Council, he wanted to thank former Mayor Forstenhausler for his dedication, commitment, and leadership over the past year. He explained that the mayoral position is a big responsibility and requires a lot of time away from the family. Mayor Loveys presented former Mayor Forstenhausler with a plaque and thanked him for his time.
Former Mayor Forstenhausler stated:
“It was an honor to serve as Randolph Township Mayor for 2018, and I am proud to say that I completely dedicated myself to the position this past year. It was a memorable, eventful, and very busy year. I worked closely with our Township Council, Manager, residents, volunteers, and others to get many things accomplished.
I really enjoyed officiating at marriage ceremonies and attending many events involving diverse ethnic and religious groups. I was struck much more by our similarities rather than by our differences. More communication and interaction are keys to understanding each other, and will make the world a much better place. Hateful speech can cause hateful acts, and we must reject both.
Thank you so much for everyone’s support, and I look forward to continue serving Randolph Township for many more years!”
Recognize Former Councilman Allen Napoliello
Manager Mountain had Mayor Loveys join him at the podium. He stated:
- “It is my great pleasure to now call up Al Napoliello to join the Mayor and me at the podium.
- Councilman Napoliello completed the last year of his term on December 31st and is retiring from the Township Council.
- He served on the council for 15 years, beginning in 2003.
- During his tenure he was Mayor in 2005 and again in 2008 and Deputy Mayor in 2004.
- Prior to joining the Council, Al was an active volunteer in the community, serving for nearly 20 years on the Recreation Committee and also as a member of the Open Space Committee.
- In 2017 Al represented Randolph with distinction as President of the Morris County League of Municipalities.
- Al is the epitome of a civic leader, he has given his time and his mind to making Randolph a better place and the residents of the township should be grateful for his service.
- I personally have enjoyed my time working with Al and appreciate the support and guidance he has provided as a member of the Council.
- Al, let me be the first one to say, thank you for your years of service and congratulations on a well deserved retirement from public life.”
Mayor Loveys, on behalf of the Council, thanked Al Napoliello for his 16 years of service. He noted that Al was instrumental in creating the Traffic Advisory Committee to address issues being raised to him at the time, as well as the Country Fair which continues to be a communitywide event. The Mayor wished Al Napoliello well, and presented him with a clock from the township.
Al Napoliello thanked the Mayor, Council, and Township Manager. He stated that he enjoyed all of his 16 years serving Randolph Township. He appreciated Senator Bucco and all in attendance for their support. Al’s wife, Joanne, stated that she was very proud of him for his commitment to the community.
Senator Anthony Bucco wished the new Mayor and Council a happy new year and all the best. He explained that he has known Al Napoliello for the many years he was on the Council, and commended him for all that he accomplished. He presented Al with a Senate and General Assembly Resolution that he and Assemblymen Carroll and Bucco put together a wishing him the best in retirement.
Mayor Loveys added that former Councilman Mike Guadagno served multiple terms and is also retiring from the Council; however, he was traveling and unable to attend.
H. COMMENTS BY MAYOR AND COUNCIL
Goals and Objectives for 2019
Councilman Forstenhausler stated:
“Happy New Year to all! I would like to thank the people of Randolph Township for returning me to the Township Council for another four years. I will continue to do my best for all of our residents, and look forward to working with our newest council members Marie Potter and Lou Nisivoccia for the benefit of Randolph.
Congratulations to Mayor Jim Loveys and Deputy Mayor Chris Carey. With their experienced leadership we will certainly have another very successful year. For 2019 I will be serving as liaison to the Municipal Alliance Committee, the Public Safety Committee, and the Wildlife Management Advisory Committee.
Congratulations to Fire Department Chief Mike Vanadia and Deputy Chief Anthony Moschella; I am sure that they will do a great job leading our fire department in 2019. Thank You!”
Councilman Nisivoccia stated:
“Good Evening everyone and thank you for attending. Special thanks to my wife Jackie and our two children, Emma and Raymond, for being here with me and for their support.
Congratulations to Mark and Jim on your re-election and Marie on your election. Congratulations to our new Mayor, Jim, and new Deputy Mayor, Chris. I am looking forward to working with you and all the council members to always put Randolph first. I would also like to congratulate all the volunteers being sworn in to the township’s boards and committees. Thank you for your service to our community.
As a new councilman, I am eager to listen and learn, and from what I have heard, communications can be improved. One of my goals is to explore better ways for the town to communicate with the residents on both routine and urgent matters so that everyone has the correct information in a timely manner.
This year, in addition to serving on several committees, I will serve as the Mayor’s designee to the Randolph Library Board of Trustees and as the Council liaison to the Board of Health.
In closing, I wish everyone a safe, healthy, and happy New Year.”
Councilwoman Potter stated:
“Good Evening—I would like to thank family, friends, Randolph residents and elected officials for taking the time tonight to celebrate Randolph Township’s 2019 reorganization.
First of all, I would like to thank my husband of 27 years, John, for supporting me throughout all my years volunteering in Randolph and most specifically for his support in last year’s campaign. I would also like to thank my children Sean, Katie, Matt and Caroline for their encouragement and assistance.
I would like to extend a congratulations and thank-you to my fellow running mates Mark, Jim and Lou; well done. I look forward to working with you over the next four years.
Joanne, Chris and Lance—thank you for all of your support and guidance.
I look forward to working with the council team for 2019—all members that have demonstrated their diverse and continuous service to Randolph.
Thank you also to all the Randolph residents who placed their trust in me through your votes. While meeting residents over the last few years, it has become clear to me how many people cherish living in Randolph as I do. I take your faith in me very seriously, and I will work hard to keep improving our community.
I am looking forward to serving on the Advisory Environmental & Landmarks Committee and the Traffic Advisory Committee. I will also be working on the Communications, Infrastructure and Ordinances work groups. Becoming a vital and productive member of the council team is my aspiration for 2019.

Councilman Tkacs stated:
“Good evening and Happy New Year to everyone! This was my second year on the Township Council. The first year was spent learning, listening, and offering input where I had expertise. The second year was supposed to be where I find my voice and have the experience and knowledge to be fully engaged in town business. Well, as you can tell, the voice part went in the other direction. At around this time last year, I was diagnosed with thymic carcinoma, a fairly rare form of cancer. It was a scary time for me and my family.
My way of dealing with this issue was to stay busy. I continued to work, and continued to participate on the Council, the Planning Board, the Wildlife Committee, the Traffic Advisory Committee, and the 90 acres (now Veterans Community Park) Committee. Not only did it help me to stay positive, but the support I received from my fellow Council members and other committee members was unbelievably uplifting...and more helpful than they will ever know. I thank you all.
I am happy to report that the treatments that I have received over the last year have been successful, and my last scans where clear of cancer. I do need follow up surgery to improve my voice, but in the meantime, people straining to hear me, at least gives the impression that what I am saying is important.
This year I will remain on the Planning Board, and I look forward to seeing the new and different opportunities for Randolph.
I congratulate Mark for his excellent year as Mayor, and I wish Jim and Chris the best of luck for their upcoming terms as Mayor and Deputy Mayor. I look forward to supporting you both in any way I can. I also want to thank Mike and Al for all the work they did on the Council...they were terrific role models for me and I wish them both a long and happy retirement.
Lastly, I want to thank my wife Kim, and my three adult children Jessica, Erik, and Monica. Their love and support are invaluable to me.
And once again, Happy New Year!”
Councilwoman Veech stated:
“Thanks Mark and Jim for your leadership, my fellow Council members for their dedication to this township, thanks to all our township employees, volunteers, and all those that make this township a strong community.
And congratulations to Jim and Chris as they take on leadership roles again this coming year.
I’ll be touching on a few topics that are near and dear to my heart and many of yours.
First, I’m the liaison on the Parks Committee and will continue in that role. This was a busy year as we named and broke ground on our newest township park—The Veterans Community Park on Calais Road. The new park was a result of our Township’s Parks and Recreation Master Plan that solicited input from thousands of our residents. Residents told us they wanted a passive park, and that’s what a group made up of Council members, Parks and Recreation committee members, as well as township leaders came together to envision. It is being funded through our open space trust fund, not out of our operating budget.
The park will be home to a great lawn with a performance gazebo, three walking trails, with one lit at night, pickle ball courts, other gazebos and amenities, as well as our very own Randolph Community Garden. Our park’s opening will take place in stages during 2019 or 2020—depending on the weather and the construction schedule. The grass has to be given time to grow before we can use the park.
Second, our volunteer Randolph community garden subcommittee has been working all year on getting 168 beds ready for open online registration this first quarter of 2019. I’m the Council liaison to this group have been working to bring a community garden to Randolph since 2011. I believe this will be a great addition to our many recreational programs, as gardening is the number one leisure past time in the US.
Our subcommittee has planned most of the details related to the garden and look forward to an opening this summer if all goes well with the construction of the park.
We anticipate our gardeners coming together to learn about gardening through various educational seminars, to grow different types of vegetables and flowers, and to come together to become an active community here in Randolph. If you’re interested in leasing a bed please keep an eye on our social media sites, our township website, as well as our electronic bulletin boards. We’d love to have you join us!
Third, I’m the liaison for the Trails Committee this coming year. The Trails Master Plan was completed in November 2017 and included an assessment of the current trail conditions, an analysis of trail connectivity, an assessment of opportunities to expand the network by identifying specific trail segments, a maintenance plan, and recommendations for trail marking and branding of the system.
A new Trails Advisory Committee was established by this Council and their role is to act as an advisory board on the use, development and maintenance of the township trail system as well as the implementation of the trails master plan.
In 2019, the Trails Advisory Committee will be active with the blazing of our entire trail system, the creation of a trail from Brundage Park to Birchwood Road, and supporting the expansion of the Dickerson Mine Preserve Trail Network. Also, new projects planned for 2019 include the launch of the Friends of Randolph Trails program, improvements to trail heads and trail signage, and the creation of a trail from the Gateway apartments to Hedden Park.
Another initiative I’m working on is to have quarterly or bi-monthly “Welcome New Residents and Businesses” evenings at town hall. Council members and senior staff members will welcome all new residents and business owners, review how the township operates, how to get information, how we communicate to our citizens and businesses, answer their questions, and make them feel they’ve made the right choice to live or have their business here in Randolph.
Lastly, there is a small group of citizens, township leaders, and myself working with a nonprofit group called “TransOptions” to explore the possibility of direct bus service into New York City. We have surveyed our township citizens and over 500 responded with interest. More to come.

Deputy Mayor Carey stated:
”Good evening and Happy New Year to all of you who were so kind to join us today.
Thank you to all of the family members, friends, staff, and elected officials who have come here today to be a part of this re-organization meeting, especially to my husband Frank and my son, Joey, who are here today.
First, I want to thank our outgoing mayor, Mark Forstenhausler, for doing such an outstanding job this past year. Mark, congratulations on a job very well done. Mark brought a lot of passion and dedication in serving as Mayor this past year. And you could tell that he sincerely enjoyed it.
Next, I would like to congratulate our new mayor, Jim Loveys. Jim is an experienced member of the Council and a second time Mayor, who I am certain will once again be an excellent leader as the Mayor of Randolph, a community that he truly loves.
I would also like to recognize our exceptional staff and volunteers—many of whom are here today—led by our Town Manager, Steve Mountain. The staff who work in this building and throughout the town really do a terrific job of keeping this town safe, keeping it running very smoothly and providing quality services to Randolph residents. Steve Mountain is an outstanding Town Manager and Randolph is very fortunate to have him.
I would also like to thank Al Napoliello for his tremendous contributions to the Randolph Community. Sixteen years is a long time to serve on the Council. I can’t remember a time when Al wasn’t serving on the Council or volunteering in Randolph in some capacity. We will miss you, Al.
2019 is my seventh year serving as a member of the Randolph Town Council, and it’s really an honor and a privilege to represent all of the residents of Randolph as a Council member. This year, I will serve the Randolph community on various committees and boards. First, I will be a liaison to the Recreation Advisory Committee which meets regularly with the Director of Parks and Recreation and reviews and makes recommendations regarding the year-round program of recreational activities offered for all township residents.
I will also be a member of two Council work groups: the Facilities Work Group, which focuses on the township facilities and any need for improvements, and the Emergency Preparedness Work Group, which continues to explore ways for the township to improve our response to weather-related and other emergencies.
In addition, I am looking forward to being the Council Liaison, along with the Mayor, to the Randolph Board of Education. We have a close working relationship and open communication with the BOE and meet with them on a regular basis to discuss issues that affect both organizations and joint projects that benefit our residents.
Finally, it is an honor to serve the residents of Randolph in 2019 as Deputy Mayor. In that role, I am happy to support and assist Mayor Loveys wherever I am needed. I look forward to continuing to work with my fellow Council members, our town manager and our outstanding staff in 2019.
Just one final point I would like to mention. I’m very happy to note, that having Marie Potter sworn in today is somewhat of a milestone for Randolph. According to my research, she is the eleventh woman to become a member of the Randolph Council and I believe this is the first time in our history when three women have served on the Council at the same time.

“Good Evening,
I’d like to thank all of you for attending tonight’s re-organization meeting and I wish everyone a belated safe, healthy, and happy New Year. It was felt this slight deviation from the past several year practice of a New Year’s Day meeting would provide the opportunity for attendees to spend New Year’s with family and friends without conflict.
Special thanks to my wife Karen and my daughter, Abby, for being here and sharing this night with me. Our daughters Chelsea and Anna, and our son James are unable to attend, but I know they are with us in spirit. A commitment to public service places demands on family life and, from the bottom of my heart, I thank you for your continued support and understanding.
I congratulate my running mates on their victories in this past year’s election, Councilwoman Marie Potter, Councilman Lou Nisivoccia, and Councilman, and outgoing Mayor Mark Forstenhausler. I look forward to working with each of you during these next four years.
Councilman Forstenhausler, again I thank you for the leadership you provided this past year. It was a privilege to have served as your Deputy Mayor. And I congratulate Deputy Mayor Carey on her nomination and selection. I’d also like to thank Al Napoliello and Mike Guadagno, who have just finished multiple terms as council members, 16 years and 8 years respectively. You both will be truly missed.
It’s difficult to express how honored I feel to serve this community as its Mayor and I thank all of my Council colleagues for their much appreciated support. I love this town in which my wife and I chose to live and raise our family 27 years ago and thank the many volunteers, past and present Township Council members, past and present township staff, and our public safety and emergency response personnel who have worked so hard to make Randolph such a great place to live.
One of the council’s first tasks will be the review and adoption of the 2019 Municipal Budget and Capital Improvement Plan which is our guiding policy document for this and future years. As always, the goal is to adopt a financial plan which meets both the short and long term needs of the community while minimizing tax impacts and maintaining fiscally prudent reserves. Due to several years of responsible fiscal planning, and the diligent efforts of our Township Manager and staff, the tax levy for the municipal portion of our tax bill has not increased for the past two years. Three budget meetings are planned: January 26 at 8:30 a.m.; February 7 at 5 p.m.; and February 16 at 8:30 a.m. All will be held here at the municipal building, are open to the public, and your input is always welcomed.
There are many ongoing and new initiatives slated for 2019. Working with our Township Manager and staff, the following is some of what this council plans to accomplish:
- Working with our Economic Development Committee to complete a new economic development website including an updated community profile, videos marketing the community, and targeted data emphasizing Randolph’s qualities for those looking to locate/re-locate their business.
- The timely completion of our new Veterans Community Park, currently under construction, located on Calais Road.
- Existing park improvements—replacement of the basketball courts, improving the ingress/egress and overflow parking at Freedom Park, new field lighting at Brundage Park, and the completion of a new septic field at Heistein Park.
- Awarding a contract and beginning site improvements at the Bennett Avenue property where Habitat for Humanity plans to construct 25 affordable housing units.
- Completing the water main replacement, installing the sewer pump station, and beginning road improvements on Meadowbrook Road; completing the sewer pump station at CCM; and the Woodlawn Terr.-Schuman Rd. sewer extension. The completion of sewer improvements in the Mt. Freedom area, together with the adoption of two ordinances to be introduced early this year which support the approved Mt. Freedom Planning Study Update, helps set the stage for future development/redevelopment in the area known as the Village Center.
- Working with the County of Morris on the replacement of the bridge on Combs Hollow Road leading into Mendham Twp., the overlay of Dover Chester Road south of the intersection with Sussex Turnpike, and the overlay of a portion of Quaker Church Road.
I thought I might try to give you a much abbreviated version of, and perhaps shed some light on, our State’s affordable housing situation and where Randolph finds itself as a result. The New Jersey Supreme Court’s interpretation of our state’s constitution in the mid 1970’s required municipalities to use their zoning powers to provide realistic opportunities for producing affordable housing to low and moderate income households. In 1985, our state legislature enacted the Fair Housing Act which created the Council on Affordable Housing, or COAH, to assess the statewide need, allocate that need on a municipal basis, and review and approve town’s housing plans developed to address their fair share obligations. From 1999-2015, COAH failed to establish quota numbers and guidelines for municipalities. Therefore, in 2015, the New Jersey Supreme Court ordered our state courts to assume responsibility. In essence, towns were forced to determine their own affordable housing obligations and could file their housing plans with the court, for final determination. This is essentially where our town stands today. Randolph continues to work with its legal, planning, and land use experts as matters continue to be reviewed by the court. Undoubtedly, our community will be faced with more residential development to help satisfy our affordable housing obligations in the future. As things continue to unfold we will be working to keep our residents informed of potential impacts on our community.
As mayor, I will serve on a work group comprised of township, Board of Education, and school administration representatives. Over the years, the township and the Board of Education have shared services and facilities, and continue to look for ways to increase efficiencies to better serve our residents, the most recent example of which is the replacement of a water main at Shongum School saving significant taxpayer dollars. We value our relationship with the school administration and the Board, and the quarterly meetings provide an opportunity for discussion as well as working to identify and resolve any issues that may arise.
I continue to be thankful and appreciative for the opportunity to serve my community and all of our residents. I look forward to working with my fellow colleagues, our Township Manager, and township staff in 2019, all of whom I admire and respect, and will continue to be guided in my decision making by what is in the best interest of Randolph Township.

I. SWEARING IN OF FIRE CHIEF AND DEPUTY FIRE CHIEF
FIRE CHIEF: Michael Vanadia
DEPUTY FIRE CHIEF: Anthony Moschella
Manager Mountain introduced Michael Vanadia and Anthony Moschella.
Manager Mountain noted the following about Chief Michael Vanadia:
- Michael was born and raised in Randolph Township.
- He started as a junior firefighter with the Randolph Fire Department, Ironia Company #4.
- During his 16 years in the fire service, Michael rose through the ranks, serving as Battalion Chief of station 4 from 2013-2016 and Department Deputy Chief for the past two years.
- Michael has served on various committees within the department, including the training committee, board of engineers, and several fire apparatus committees.
- He is also a certified fire instructor and works part-time at the Morris County Public Safety and Training Academy.
- Michael is a Penn State graduate with a degree in civil engineering. He works full-time as a project manager and director of operations at his family owned and operated residential construction company.
- Michael is married to Diana Vanadia who assists on the Ironia Ladies Auxiliary.
Diana Vanadia thanked her husband Michael for his dedication to the fire department; safety is his number one priority.
Michael Vanadia was sworn in as Chief of the Randolph Township Fire Department by his wife, Diana; his brother Mark held the bible.
Manager Mountain presented Anthony Moschella with a plaque to thank and acknowledge him for his two years as Fire Chief.
Manager Mountain noted the following about Deputy Fire Chief Anthony Moschella:
- Tony is also a lifelong resident of Randolph Township and has been an active member of the Randolph Fire Department—Millbrook Company #2 for over 25 years.
- He served as company officer for 8 years and company chief from 2003-2004.
- For the past two years Tony has served as Department Chief of the township fire department and the two years prior to that as Deputy Chief.
- Tony has been active with many company and department committees. He also has served as Company Chaplin for over 10 years and chair of the department’s board of engineers.
- Tony has been employed with the Jersey City Police Department for 20 plus years and is assigned to the specialized emergency services unit and bomb squad.
- Tony and his wife Carolyn have three children, Anthony, Madison and Dante. Anthony is a firefighter with Company 2 and is currently serving in the U.S. Army. Madison is a graduate of the University of West Virginia and is currently working in the home mortgage industry and Dante is a student at County College of Morris studying in the field of criminal justice.
- Thanked Tony for his service as Fire Chief.

2. Rate of Interest of Delinquent Taxes and Delinquent Water and Sewer
R-01-19
WHEREAS, N.J.S.A. 54:4-67 has been amended to permit the charging of 8% of the first $1,500.00 of delinquent taxes and assessments, and 18% on any amount in excess of $1,500.00; and
WHEREAS, N.J.S.A. 54 also permits the charging of 8% interest on the first $1,500.00 of delinquent water and sewer charges and 18% interest on any amount in excess of $1,500.00; and
WHEREAS, the delinquent charges on finance agreements is 1 1/2 % per month in each installment in default for thirty (30) days.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, as follows:
- The rate of interest to be charged for nonpayment of taxes, assessments, water and sewer charges, on or before the due date shall be 8% per annum for the first $1,500.00 and 18% on any amount in excess of $1,500.00.
- No interest shall be charged if payment of any taxes and assessments is made within ten (10) calendar days of due date.
- The rate of interest to be charged on delinquent finance agreements is 1 1/2 % per month in each installment in default for thirty (30) days.
- This resolution shall take effect on January 3, 2019.

WHEREAS, N.J.S.A. 10:4-6 et seq., known as the “Open Public Meetings Act,” requires notices to be given of meetings of public bodies, as defined and prescribed in said statute, and further provides for the fixing of a reasonable charge to be paid by any person requesting such notices.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, Morris County, New Jersey, as follows:
- The Randolph Reporter and the Morris County Daily Record, as the newspapers having the greatest likelihood of informing the public of meetings to be held by the Township Council of the Township of Randolph, are hereby designated as the newspapers to receive notices of all meetings of this Township Council for the calendar year 2019 as required by the “Open Public Meetings Act.”
- The bulletin board located immediately adjacent to the Council Chambers in the Randolph Municipal Building shall be the place for posting of all notices of meetings of the Township Council during the 2019 calendar year.
- The sum of twenty ($20) dollars is hereby fixed as the fee to be paid by any person requesting that notices of meetings of the Township Council of the Township of Randolph during the 2019 calendar year be mailed to such person; but, as provided in N.J.S.A. 40:4-19, no charge shall be made to any newspaper requesting the mailing of such notices to its business office.
- Certified copies of this resolution shall be mailed by the Clerk of the Township to the Randolph Reporter and the Morris County Daily Record and a certified copy shall be filed with the Clerk of the Township.

WHEREAS, the State of New Jersey periodically amends the statutory provisions governing cash management plans and permitted investments; and

10. Award of 2019 PSA Agreement to the Buzak Law Group for Township Attorney Services

WHEREAS, the Township of Randolph (“Township”) requires Township Attorney services for the 2019 calendar year; and
WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined and certified in writing that the value of these services will exceed $17,500; and
WHEREAS, the Township has agreed to retain The Buzak Law Group, LLC located at 150 River Rd, Ste N-4, Montville, NJ 07045 to provide the necessary Township Attorney services for a total amount not to exceed $312,000 ($26,000 per month) plus $170/hour for litigation and escrow appeals; and
WHEREAS, the fees are as noted in the attached proposal and will remain as stated for the term of this contract; and
WHEREAS, the term of this contract is for the 2019 calendar year; and
WHEREAS, the contract with The Buzak Law Group, LLC is for a total amount not to exceed $312,000 plus $170/hour for litigation and escrow appeals and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and
WHEREAS, in accordance with the Anti Pay-to-Play Legislation, The Buzak Law Group, LLC has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification as required; and
WHEREAS, The Buzak Law Group, LLC has also submitted to the Township a New Jersey Business Registration Certificate, as required; and

WHEREAS, the fees are as noted in the attached proposal and will remain as stated for the term of this contract; and

21. Endorsing a Waiver EPA Grant Restrictions Related to Sewer Servicing Lots with Wetlands with Respect to the CCM Technology Building Project , 214 Center Grove Road, Block 81, Lots 1 and 6

WHEREAS, the County College of Morris proposes a sanitary sewer connection at the project known and designated as the Technology Building , Block 81, Lots, 1 & 6, on the official tax map on the official tax map of the Township of Randolph, to the Randolph Township Sewer System for ultimate discharge to the Rockaway Valley Sewerage Authority (“RVRSA”) System and;
WHEREAS, a portion of the property to be connected to the System contains wetlands as defined and delineated by the United States Fish & Wildlife Service; and
WHEREAS, one of the conditions imposed by the United States Environmental Protection Agency (“EPA”) upon the grant for the construction of the RVRSA facilities prohibits the connection of any sewerage generating structure located within any parcel of land containing a wetland area to the System for a period of 50 years after November 29, 1983; and
WHEREAS, said grant conditions provide for exceptions to the prohibition if approved, in writing, by the Regional Administrator of EPA; and
WHEREAS, the procedures for mapping revisions and waiver requests established by EPA, the New Jersey Department of Environmental Protection (“DEP”) and the RVRSA require that Randolph Township endorse the submission of such waiver request or mapping revision; and
WHEREAS, those procedures provide that projects which do not adversely impact wetlands may be approved by way of a mapping revision or waiver request; and
WHEREAS, the County College of Morris, has submitted to the Township a request for a Wetlands Waiver Permit for sewer gallonage and indicated that no sewerage generating structures are to be located within the wetlands; and
WHEREAS, the Township Engineer finds that the project, as proposed by the County College of Morris, will not involve the construction of sewerage generating structures within a delineated wetland and is designed so as to minimize any adverse impacts on such delineated wetlands; and
NOW, THEREFORE, be it resolved that the request by the County College of Morris, for the Technology Building be submitted to the RVRSA for a waiver of the EPA grant condition, related to servicing the property with wetlands for Block 81, Lots 1 and 6, on the Tax Maps of the Township of Randolph, is hereby endorsed.
22. Award of 2019 PSA Agreement to Hawkins Delafield & Wood LLP for Bond Counsel Services

WHEREAS, the Township of Randolph (“Township”) requires Bond Counsel services for the 2019 calendar year; and
WHEREAS, the Township has agreed to retain Hawkins Delafield & Wood LLP located at One Gateway Center, Newark, NJ 07102 to provide the necessary Bond Counsel services for a total amount not to exceed $5,000 (Partner/Counsel: $225 per hour, Associate: $125 per hour, Paralegal: $85 per hour); and
WHEREAS, the fees are as noted in the attached proposal and will remain as stated for the term of this contract; and
WHEREAS, the term of this contract is for the 2019 calendar year; and
WHEREAS, the contract with Hawkins Delafield & Wood LLP is for a total amount not to exceed $5,000 and therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) do not apply; and
WHEREAS, Hawkins Delafield & Wood LLP has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification should the dollar amount of their contract be amended during the 2019 calendar year and exceed $17,500 and the requirements of the Anti Pay-to-Play Legislation would then apply; and
WHEREAS, Hawkins Delafield & Wood LLP has also submitted to the Township a New Jersey Business Registration Certificate, as required; and
WHEREAS, there are funds available for the retention of such professional services from various capital accounts; and
WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:
- The Township hereby hires, employs and retains Hawkins Delafield & Wood LLP having an office at One Gateway Center, Newark, NJ 07102 to provide Bond Counsel services for the 2019 calendar year.
- Hawkins Delafield & Wood LLP shall be compensated for a total contract amount not to exceed $5,000.
- The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
- The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27 et seq.
- The Mayor and Township Clerk, together with all appropriate officers, employees, professionals and staff of the Township, are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.
- It is hereby directed that Notice of Award of this Contract shall be published once in the official designated newspaper of the Township within ten (10) days of the date hereof.
- This Resolution shall take effect immediately.

WHEREAS, the Township has agreed to retain Vanguard Medical Group located at 477 Route 10 East, Ste 205, Randolph, NJ 07869 to provide the necessary Corporate Health Services (pre-employment, pre-volunteer exams and drug testing) for a total amount not to exceed $12,000; and
WHEREAS, the fees are as noted in the attached proposal and will remain as stated for the term of this contract; and
WHEREAS, the term of this contract is for the 2019 calendar year; and
WHEREAS, the contract with Vanguard Medical Group is for a total amount not to exceed $12,000 and therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) do not apply; and
