A. OPENING OF SPECIAL MEETING
1. Call to Order
A special meeting of the Randolph Township Council was called to order at 3:00 p.m. by Mayor Loveys. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location, and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the bulletin board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice of this meeting was provided to the Randolph Reporter by e-mailing them the Special Meeting Notice on March 6, 2014. The Special Meeting Notice, which included this meeting date, was advertised in the Randolph Reporter on March 13, 2014.

C. APPOINTMENT
1. Appointment of Township Manager—Effective April 14, 2014 (R-93-14)
Mayor Loveys explained that with the Council-Manager form of government, the Township Council is charged with appointing the Township Manager. To recruit potential candidates, a sub-committee of three Council members was formed in 2013, and a search firm was retained. Over a six month period of time, the search firm narrowed the candidates to five, and those five were interviewed by the entire Council.
Mayor Loveys reflected on Township Manager Lovell’s positive contributions to Randolph Township as well as to Municipal Government over his 38 year career and thanked him for his service.
Deputy Mayor Veech made a motion to appoint Stephen P. Mountain as the new Randolph Township Manager effective April 14, 2014. Councilman Napoliello seconded the motion, and the following roll call vote was taken:

Steve Mountain thanked the Council and stated that he is looking forward to returning to Randolph as the next Township Manager.
WHEREAS, upon receiving notice of the March 31, 2014 retirement of John C. Lovell, Township Manager, of the Township of Randolph (“Township”), the Township Council embarked upon a search to select a new Township Manager; and
WHEREAS, the Township retained Jersey Professional Management to aid in the search for a new Township Manager; and
WHEREAS, after careful review of all credentials and qualifications, the Township has determined that it is in the best interests of the Township to appoint Stephen P. Mountain as Township Manager of the Township, effective April 14, 2014 in accordance with applicable statutes of the State of New Jersey and the Code of the Township.
NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey as follows:
- The Township hereby appoints Stephen P. Mountain as the Township Manager (“Manager”) of the Township of Randolph (“Township”), effective April 14, 2014, in accordance with a certain Terms and Conditions of Employment Memorandum, dated March 13, 2014 (“Memorandum”), by and between the Township and the Manager.
- All of the terms and conditions of the Memorandum, by and between the Township and the Manager are hereby approved, ratified and confirmed by the Township, provided, however, that any minor non-substantive changes in said Memorandum may be made prior to its execution by the Township, upon the approval of the Mayor and Township Attorney.
- The Mayor and Municipal Clerk are hereby authorized and directed to execute said Memorandum and the Mayor and Municipal Clerk, along with all other appropriate officers, employees, agents and consultants of the Township are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.
- This Resolution shall take effect immediately.
D. COMBINED ACTION RESOLUTIONS
Councilman Guadagno made a motion to accept the Combined Action Resolutions. Deputy Mayor Veech seconded the motion, and the following roll call vote was taken:

1. Authorizing the Award of a Professional Services Agreement to EcolSciences for Phase I
R-92-14
WHEREAS, the Township of Randolph (“Township”) requires a Phase I Environmental Report for 3 properties (Block 47 Lots 7.30, 12.17, and 27.29) for a period not to exceed one year (March 13, 2014 - March 12, 2015); and
WHEREAS, the Township has agreed to retain EcolSciences, Inc. located at 75 Fleetwood Dr, Ste 250, Rockaway, NJ 07866 to provide the necessary Phase I Environmental Report for 3 properties (Block 47 Lots 7.30, 12.17, and 27.29) for a total amount not to exceed $2,800 plus out-of-pocket expenses; and
WHEREAS, the fees are as noted in the attached proposal; and
WHEREAS, the anticipated term of this contract is for the calendar year of March 13, 2014 - March 12, 2015; and
WHEREAS, the contract with EcolSciences, Inc. is for a total amount not to exceed $2,800 plus out-of-pocket expenses and therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) do not apply; and
WHEREAS, EcolSciences, Inc. has submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification since this plus other work on hand in the Township may exceed $17,500 in 2014 and the requirements of the Anti Pay-to-Play Legislation would then apply; and
WHEREAS, EcolSciences, Inc. has also submitted to the Township a New Jersey Business Registration Certificate, as required; and
WHEREAS, there are funds available for the retention of such professional services; and
WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:
- The Township hereby hires, employs and retains EcolSciences, Inc. having an office at 75 Fleetwood Dr, Ste 250, Rockaway, NJ 07866 to provide a Phase I Environmental Report for 3 properties (Block 47 Lots 7.30, 12.17, and 27.29) for a period not to exceed one year (March 13, 2014 - March 12, 2015).
- EcolSciences, Inc. shall be compensated for a total contract amount not to exceed $2,800 plus out-of-pocket expenses.
- The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
- The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27.
- The Mayor and Township Clerk, together with all appropriate officers, employees, professionals and staff of the Township are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.
- It is hereby directed that Notice of Award of this Contract shall be published once in the official designated newspaper of the Township within ten (10) days of the date hereof.
- This Resolution shall take effect immediately.
CERTIFICATION OF AVAILABILITY OF FUNDS
Dated: March 6, 2014
As required by N.J.S.A. 40A:4-57, N.J.A.C. 5:30-14.5, and any other applicable requirement, I, Darren Maloney, Director of Finance of the Township of Randolph, has ascertained that funds will be available in the Habitat for Humanity Project account to award a contract to EcolSciences, Inc. for a phase I environmental report.

E. COUNCIL COMMENTS
Councilman Guadagno reported that the Landmarks Committee has submitted a proposed Proclamation for the 350th anniversary of the State of New Jersey.
Deputy Mayor Veech reported that she had attended the Parks Committee meeting, and they are very interested in a Parks Master Plan.
Councilman Forstenhausler thanked all of the Department Heads for taking their time to speak with him. He thanked Manager Lovell and all the staff for being so welcoming.
Councilman Napoliello thanked Manager Lovell for all that he has done during his time in Randolph and welcomed Steve Mountain.
Manager Lovell stated that he thought the Council made a wonderful choice in appointing Steve Mountain, he is very competent administrator and well respected in the profession. The Manager congratulated Steve Mountain and the Council.
F. OPEN TO THE PUBLIC
Judith Stewart of 114 Everdale Road stated that she was delighted that Steve Mountain was appointed Randolph Township Manager.
