A. OPENING OF REGULAR MEETING
1. Call to Order
A regular meeting of the Randolph Township Council was called to order at 7:00 p.m. by Mayor MacArthur. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location, and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the bulletin board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on December 7, 2012, by e-mailing them the annual resolution adopted by the Council on November 29, 2012. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph, and the Daily Record on December 13, 2012.

3. Mayor MacArthur led the Pledge of Allegiance
B. RECOGNITION/PROCLAMATION
Mayor MacArthur congratulated Joshua Sittner on achieving the rank of Eagle Scout. The Mayor commended him on his project adding safety features, such as a railing, to the Fernbrook Elementary School courtyard/ecology center. Joshua was presented with a Proclamation, a plaque, and a Randolph Township pin.
Whereas, Joshua Sittner is a member of Boy Scouts of America, Boy Scout Troop 50, and;
Whereas, Joshua Sittner has achieved the rank of Eagle Scout in the Boy Scouts of American, and;
Whereas, in accomplishing this, Joshua Sittner undertook a project to build a retaining wall, steps, and railing for the Fernbrook Elementary School’s outdoor education center, and;
Whereas, in achieving this accomplishment, Joshua Sittner has reached the zenith of scouting, and as such, is a source of pride and inspiration for all of Randolph.
Now therefore be it proclaimed, by the Randolph Township, Eagle Scout Joshua Sittner is recognized and congratulated for this exceptional achievement.
C. OPEN TO THE PUBLIC
Seeing no one from the public, the public portion was closed.
D. MANAGER’S REPORT
Manager Lovell stated that the budget will be discussed later in the meeting, and after more discussion, he anticipates distributing an early version shortly. The Manager also reported that since Randolph was getting some snow, he drove on some roads that had been treated with the new PACE system and it seemed to be doing very well.
E. APPROVAL OF MEETING MINUTES

F. COMBINED ACTION RESOLUTIONS
The following items were discussed:
- Item 2, Refund for Woodland Lakes-Manager Lovell stated that Randolph Township has a water meter at the entrance to this residential complex of approximately 20 or 25 homes in Mendham Township. The Manager explained that, based on the water consumption, they move immediately into the highest rate of the block rate structure. Finance Director Michael Soccio and Manager Lovell determined the fairest way to handle the water bill for this complex of single family homes is to divide the bill by the number of single family homes and the gallonage, and bill them accordingly.
- Item 3, Overpayment of 2013 taxes-Councilman Napoliello asked if the reason for the refund was because the resident paid too much to their taxes. Manager Lovell explained that it can happen in instances such as refinancing a mortgage.
- Item 5, Authorizing the Award of a PSA to Ferriero Engineering-Mayor MacArthur stated that he didn’t have an issue with the item but would like to know the cost of all the different contracts with Ferriero Engineering. Manager Lovell replied that he will compile something.

2. Refund Woodland Lakes Adjustment of Water bill—$12,668.98

WHEREAS, Woodland Lakes, Inc., 2 Barbarita Hill, Randolph, Block 9999, Lot 139 has been billed water consumption based on one single unit; and
WHEREAS, there are 36 individual units at Woodland Lakes; and
WHEREAS, based on adjusting the 2012 billing using 36 individual units Woodland Lakes, Inc. has overpaid their 2012 water billing by $12,668.98.
NOW, THEREFORE BE IT RESOLVED, by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Finance Director be instructed to refund $12,668.98 to Woodland Lakes, Inc. 2 Barbarita Hill, Randolph, NJ 07869.
3. Overpayment of 2013 Taxes on 166 Park Avenue—Shee/Ghosh—$2,012.62

WHEREAS, Abhijit Shee/Amrita Ghosh has overpaid 2013 taxes in the amount of $2,012.62 on Block 27, Lot 76, 166 Park Avenue; and
WHEREAS, it is recommended by the Tax Collector that this overpayment be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $2,012.62 to Shee/Ghosh.
4. Overpayment of 2013 Taxes on 4 Stacy Court—$2,330.40

WHEREAS, Henry Jeanette overpaid 2013 taxes in the amount of $2,330.40 on Block 214 Lot 8, 4 Stacy Court; and
WHEREAS, it is recommended by the Tax Collector that this overpayment be refunded at this time.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund the overpayment of $2,330.40 to Henry Jeanette.
5. Authorizing the Award of a PSA to Ferriero Engineering for GIS Mapping Services for a Total Amount Not to Exceed $22,500

WHEREAS, the Township of Randolph (“Township”) requires Water Distribution System GIS Mapping services for a period not to exceed one year (3/7/13-3/6/14); and
WHEREAS, the Township has agreed to retain Ferriero Engineering located at PO Box 571, 180 Main St, Chester, NJ 07930 to provide the necessary Water Distribution System GIS Mapping services for a total amount not to exceed $22,500; and
WHEREAS, the contract with Ferriero Engineering is for a total amount not to exceed $22,500 and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and
WHEREAS, Elizabeth Crescibene, Purchasing Agent, has determined that the value of the acquisition will exceed $17,500; and
WHEREAS, in accordance with the Anti Pay-to-Play Legislation, Ferriero Engineering submitted to the Township the Political Contribution Disclosure Form, Stockholder Disclosure Certification and Business Entity Disclosure Certification as required; and
WHEREAS, Ferriero Engineering has also submitted to the Township a New Jersey Business Registration Certificate, as required; and
WHEREAS, there are funds available for the retention of such professional services; and
WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:
1. The Township hereby hires, employs and retains Ferriero Engineering having an office at PO Box 571, 180 Main St, Chester, NJ 07930 to provide Water Distribution System GIS Mapping services for a period not to exceed one year (3/7/13-3/6/14).
2. Ferriero Engineering shall be compensated for a total contract amount not to exceed $22,500.
3. The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
4. The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27.
5. The Mayor and Township Clerk, together with all appropriate officers, employees, professionals and staff of the Township are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.
6. It is hereby directed that Notice of Award of this Contract shall be published once in the official designated newspaper of the Township within ten (10) days of the date hereof.
7. This Resolution shall take effect immediately.

6. Authorizing the Award of a PSA to James Pryor for Legal Services to Represent the Construction Official before Morris County Construction Board of Appeals for a Total Amount Not to Exceed $1,500

WHEREAS, the Township of Randolph (“Township”) requires Legal Services to represent the Township’s Construction Official before Morris County Construction Board of Appeals services for a period not to exceed one year (3/7/13-3/6/14); and
WHEREAS, the Township has agreed to retain Law Offices of James Pryor located at 262 E Main St, Rockaway, NJ 07866 to provide the necessary Legal Services to represent the Township’s Construction Official before Morris County Construction Board of Appeals services for a total amount not to exceed $1,500; and
WHEREAS, the contract with Law Offices of James Pryor is for a total amount not to exceed $1,500 and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and

7. Authorizing the Award of a PSA to Stormwater Compliance Solutions for Maintenance and Evaluation of Three Detention Basins in the Amount of $25,730

WHEREAS, the Township of Randolph (“Township”) awarded a Professional Services Agreement to Stormwater Compliance Solutions LLC in the amount of $25,730 on December 1, 2011 via resolution R 305-11 to perform Maintenance and Evaluation services of three detention basins; and
WHEREAS, professional service agreements cannot be for more than 12 consecutive months; and
WHEREAS, only $17,350.04 in services for the original agreement have been completed through November 30, 2013; and
WHEREAS, the Township requires the completion of the Maintenance and Evaluation services of the three detention basins for the balance of $8,379.96; and
WHEREAS, the Township has agreed to continue to retain Stormwater Compliance Solutions LLC located at PO Box 572, 180 Main St, Chester, NJ 07930 to complete the Maintenance and Evaluation services of three detention basins for a total amount not to exceed $8,379.96; and
WHEREAS, the contract with Stormwater Compliance Solutions LLC is for a total amount not to exceed $8,379.96 and was not solicited through receipt of sealed bids or competitive contracting, therefore the requirements of N.J.S.A. 19:44A-20.5 (Anti Pay-to-Play Legislation) apply; and
WHEREAS, there are funds available for the retention of such professional services; and
WHEREAS, said professional services may be retained without competitive bidding pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:
1. The original Professional Services Agreement awarded on December 1, 2011 via resolution R 305-11 in the amount of $25,730 is hereby reduced to $17,350.04.
2. The Township hereby agrees to continue to retain Stormwater Compliance Solutions LLC having an office at PO Box 572, 180 Main St, Chester, NJ 07930 to complete the Maintenance and Evaluation of three detention basins for a period not to exceed one year (12/1/12-11/30/13).
3. Stormwater Compliance Solutions LLC shall be compensated for a total contract amount not to exceed $8,379.96.
4. The contract with said firm is for professional services and exempt from the bidding requirements under the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq.
5. The award is also subject to compliance with the Equal Employment Opportunity Requirements pursuant to N.J.S.A. 10:5-31 et seq. and N.J.A.C. 17:27.

WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing council (“MCCPC”) sought re-bids for the following contracts:

WHEREAS, bids had been advertised and were received on February 27, 2013, in accordance with Local Public Contracts Law for the contracts noted above; and
WHEREAS, for Contract #1 (Motor Gasoline), Petroleum Traders did not provide a bid bond form signed by their surety company, thus making it a mandatory reject; and
WHEREAS, Riggins, the low bidder for Contract #1 (Motor Gasoline) Bulk Deliveries and Contract #12 (Ultra Low Sulfur Diesel Fuel) Bulk Deliveries failed to provide equipment and storage facility information pursuant to the Bid Specifications, which is a material defect, not waivable, and therefore was nonresponsive and must be rejected; and
WHEREAS, Allied Oil was the lowest responsive, responsible bidder for Contract #1 (Motor Gasoline) Bulk Deliveries and Tankwagon Deliveries; and
WHEREAS, Allied Oil was the lowest responsive, responsible bidder for Contract #2 (Fuel Oil); and
WHEREAS, for Contract #12 (Ultra Low Sulfur Diesel Fuel), Finch Fuel was the lowest responsive, responsible bidder for Tankwagon Deliveries, Category 1, and Allied Oil was the lowest responsive, responsible bidder for Category 2, Bulk Deliveries; and
WHEREAS, Beyer CDJR was the lowest responsive, responsible bidder for Contract #15-A (Police Pursuit Vehicles), Item 4 (both 6-cylinder and 8-cylinder vehicles); and
WHEREAS, the low bidders for Item 2 (Hertrich Fleet) and Item 5 (Winner Ford) for Contract #15-B (Administrative Passenger Vehicles) took exceptions to the Bid Specifications and are therefore nonresponsive and must be rejected; and
WHEREAS, Beyer Ford was the lowest responsive, responsible bidder for Item 2 and Item 5 of Contract #15-B (Administrative Passenger Vehicles), and Beyer CDJR was the lowest responsive, responsible bidder for Item 3 and Item 4 of Contract #15-B (Administrative Passenger Vehicles); and
WHEREAS, the low bidder for Item 1A (Hertrich Fleet) in Contract #15-C (Utility Vehicles) took exceptions to the Bid Specifications and is therefore nonresponsive and must be rejected; and
WHEREAS, Beyer Ford was the lowest responsive, responsible bidder for Item 1A in Contract #15-C (Utility Vehicles); and
WHEREAS, no bids were received for Contract #15-E (Hybrid Vehicles); and
WHEREAS, the low bidder for Contract #27 (Traffic Paint), Ricciardi Brothers, provided information and material data that was not in compliance with the requirements of the Bid Specifications and was therefore nonresponsive and must be rejected; and
WHEREAS, Garden State Highway, the second low bidder, and Ennis Paint, the third low bidder for Contract #27 (Traffic Paint) were also nonresponsive in that Garden State did not provide information and material data for all products bid and Ennis Paint did not bid on all items within the contract as specified in the Bid Specifications and must be rejected; and
WHEREAS, Grass Roots Turf was the lowest responsive and responsible bidder for Contract #27 (Traffic Paint); and
WHEREAS, information provided in the bid submitted by Communications Specialists, the sole bid for Contract #38 (Preventive Maintenance/Repair of Communications Equipment), indicates the company is not responsible as defined by Local Public Contracts Law and as such cannot complete the contract and therefore was nonresponsive to the Bid Specifications and must be rejected; and
WHEREAS, the Township on behalf of the MCCPC desires to award the contracts to the bidders for the contracts listed above in the amounts as set forth on the Notice of Award sheets, which are attached at Exhibit A.
NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Township on behalf of the MCCPC hereby authorizes the award of the contracts as noted above and approves the rejection of the bid submitted for Contract #38 (Preventive Maintenance/Repair of Communications Equipment).
G. UPCOMING EVENTS
1. Saturday, March 9th, St. Patrick’s Day Parade, Morristown—public officials line up between 10:30 a.m. and 11:00 a.m.
2. Monday, March 25th, Firemen’s Recognition at 7:30 p.m. at the Mt. Freedom Firehouse
Mayor MacArthur reported that a networking evening, jointly sponsored by the Economic Development Committee and the Randolph Chamber of Commerce, will be held on Friday March 22nd from 5 p.m. - 7 p.m.
H. ORDINANCES: INTRODUCTIONS
Manager Lovell reported that as part of the Toll Brothers project, a conservation easement is being placed on the rear portion of each of the residential lots. The concept was to have the homes built close to the road and allow the wooded sections behind the homes to remain unspoiled. This was approved by the Planning Board as part of the submission by the developer.
1. Accepting a Toll Conservation Easement for Block 146, Lot 72.07 and 72.08
BE IT RESOLVED that an Ordinance entitled “AN ORDINANCE ACCEPTING A CONSERVATION EASEMENT OVER AN 80,592 SQUARE FOOT PORTION OF BLOCK 146, LOT 72.07 AND 72.08 ON THE OFFICIAL TAX MAP OF THE TOWNSHIP OF RANDOLPH FROM TOLL NJ VI, L.P.” be introduced and read by title by the Township Clerk and passed on first reading.
BE IT RESOLVED that said Ordinance shall be further considered for final passage at the meeting of the Township Council of the Township of Randolph on the 4th of April, 2013 at 7:00 o’clock in the evening, prevailing time, at the Municipal Building in said Township, at which time and place all persons interested shall be given an opportunity to be heard concerning said Ordinance.
BE IT FURTHER RESOLVED that the Township Clerk be authorized and directed to advertise said Ordinance in full or by summary with the Notice of Introduction thereof in the official designated newspaper according to law.

BE IT RESOLVED that an Ordinance entitled “AN ORDINANCE ACCEPTING A CONSERVATION EASEMENT OVER A 42,478.56 SQUARE FOOT PORTION OF BLOCK 146, LOT 72.14, AND A 143,598.37 SQUARE FOOT PORTION OF BLOCK 146, LOTS 72.19, 72.20, 72.21, AND 72.22 ON THE OFFICIAL TAX MAP OF THE TOWNSHIP OF RANDOLPH FROM TOLL NJ VI, L.P.” be introduced and read by title by the Township Clerk and passed on first reading.

I. DISCUSSION ITEMS
1. 2013 Municipal Budget
There was concern expressed as to whether enough had been done to try to reduce taxes for the residents. Manager Lovell stated that he would prepare documents to offer alternatives to achieve further reductions. There was much discussion about potential budgets to cut, the levy cap, tax rates, the AAA bond rating, and future budgets.
2. Infrastructure Work Group Project—MCMUA Proposal—Dover Water System
Manager Lovell distributed a map showing the areas of the Township served by the Dover Water System and those served by the Randolph Water System. He explained that in order to provide water pressure to the area of Reservoir Avenue, Davis Avenue, and High Street, the Dover Water System has a pump station in that area. The pump station is in very poor condition and the pipes in that area are almost all cast iron pipes which is old and problematic technology. The Manager reported that Dover went to the Morris County MUA and asked if the Morris County MUA could supply them with water for this section of Randolph Township so they won’t have to replace the pump station. This would result in Morris County MUA to wield water from Pleasant Hill Road, where they have their pump station, through the Randolph system into this area and supply these Randolph residents. There would be a meter put at point of entry, and their shut off valves would be shut for the rest of the Dover system. The Morris County MUA approached Randolph Township to open up negotiations and expressed that this would have no impact on Randolph’s excess gallonage. Manager Lovell reported that Councilman Guadagno would be the Chair of the work group that would begin negotiations with Dover and the Morris County MUA.
3. Shelter Group—Congregate Care Definition—Site Plan Meeting Update
Mayor MacArthur reported that he, Manager Lovell, Attorney Buzak, Paul Ferriero, Darren Carney, and Keli Gallo met with members of the Shelter Group and voiced the following concerns:
- Regarding the parking calculation, there is no room for error as there is nowhere else surrounding the site for vehicles to park. They might be able to increase the parking spaces slightly by moving into the front yard buffer in one section along Quaker Church Road. Underground parking was proposed as this is a cut and fill project, and with the amount of select fill that will have to be brought in to develop the facility on a level site, underground parking may make sense on the one side of the building.
- The sloped property creates a concern over building elevation. The top of the building will be 70 feet higher than a point in the street. Some options were discussed, with the Shelter Group being most receptive to the idea of shortening the most eastern section of the 3 story building, and instead make it a shorter, 4 story building. This concept would also allow for additional parking spaces.
- There was discussion about the age restrictions for the units. The percentage of independent living units was higher than what they presented at the Council meetings.
The Shelter Group will revise the design based on the above concerns and come back in the future for more discussion.
J. OPEN TO THE PUBLIC
Judith Stewart, 114 Everdale Road reminded the Council that the public is entitled to see the format for the evaluation for the Township Clerk. Regarding the “Ranking of Tax Per Person for Morris County” document that the Mayor distributed, Mrs. Stewart stated that Victory Gardens isn’t included in any of the school districts, and yet they do pay for schools, which is misleading. She also pointed out that “District School Budget Per Person” doesn’t mean per child, it means divided by the number of residents, and if there is a small number of school children in the municipality, this number will be lower. She appreciated the information; however, she asked the Council to keep in mind that this is not a complete analysis. Mrs. Stewart stated that the municipal tax is small compared to the total tax paid by residents.
K. COUNCIL COMMENTS
Councilman Hirniak reported that as the liaison to the Traffic Advisory Committee, he had a conversation with Chairman Jim Maraska in which Jim said he would like to be included on agenda lists for the Planning Board and Board of Adjustment so he could determine if he would benefit from attending certain meetings related to traffic, roads or road construction. Based on that conversation and Council discussion at a previous meeting, he asked the Council members to think about whether there are certain committees that they liaise to that would be better served by being on a distribution list for an agenda of some other board or committee of the Township.
Councilman Guadagno reported that he is trying to get a meeting with Steve Hammond to review the roads in Randolph. Once a meeting date is chosen, an agenda will be created.
Deputy Mayor Loveys reported that congratulations are in order for the Randolph High School Hockey Team, heading to the State Final for the 5th consecutive year. The game is on Saturday at 5:00 p.m. at the Prudential Center.
There was discussion about having Randolph organizations such as the fire companies and Rescue Squad hold their social functions at Randolph establishments when the event is being supported financially by the Township. There will be further discussion at a future Council meeting to determine how to proceed.
L. EXECUTIVE SESSION
WHEREAS, Section 8 of the Open Public Meetings Act, Chapter 231, P.L. 1975 (N.J.S.A. 10:4-12) permits the exclusion of the public from a meeting under certain circumstances; and
WHEREAS, this public body is of the opinion that such circumstances presently exist.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, in the County of Morris, and State of New Jersey, as follows:
1. The public shall be excluded from the following portion of the meeting.
2. The general nature of the subject matter to be discussed is as follows:

3. As nearly as now can be ascertained, the matter or matters to be discussed at this time will be disclosed to the public at such time and under such circumstances as are prescribed by law.
4. At the conclusion of the closed Executive Session, the Council may reconvene in public session for the purpose of taking formal action on matters discussed in closed session or on any other matter as permitted by law.
