A. OPENING OF REGULAR MEETING

1. Call to Order

A regular meeting of the Randolph Township Council was called to order at 4:30 p.m. by Mayor Hirniak. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the Bulletin Board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on December 4, 2015 by e-mailing them the annual resolution adopted by the Council on December 3, 2015. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph, and the Daily Record on December 10, 2015. The time change for this meeting was emailed to the Randolph Reporter and Daily Record, posted on the Township website and posted on all the entrance doors at Town Hall on October 31, 2016.

B. EXECUTIVE SESSION

WHEREAS, Section 8 of the Open Public Meetings Act, Chapter 231, P.L. 1975 (N.J.S.A. 10:4-12) permits the exclusion of the public from a meeting under certain circumstances; and

WHEREAS, this public body is of the opinion that such circumstances presently exist.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, in the County of Morris, and State of New Jersey, as follows:

1. The public shall be excluded from the Executive portion of the meeting.

2. The general nature of the subject matter to be discussed is as follows:

3. As nearly as now can be ascertained, the matter or matters to be discussed at this time will be disclosed to the public at such time and under such circumstances as are prescribed by law.

D. OPEN TO THE PUBLIC

Mike Obremski from JCP&L, 13 Richard Boynton Road, Dover, NJ provided an update on JCP&L activities. He provided brochures to the Township Clerk on their Power Systems Institute, a partnership with Raritan Valley Community College to train their future line workers and sub-station workers. It is a two year program which earns a college degree, and it is paid for by JCP&L. Following the successful completion of the program, the person would likely obtain employment with JCP&L. Over the next five years, approximately one-third of their workforce will be retiring. There will be an open house on November 10th at Raritan Valley Community College.

Mr. Obremski explained that there have been line trucks in the area working on one of the circuits out of the Mount Fern substation. Each year JCP&L ranks its circuits using a matrix, and this year a circuit at Mount Fern needed to have the old equipment replaced with new equipment.

Seeing no one further from the public, the public portion was closed.

E. MANAGER’S REPORT

Manager Mountain reported the following:

  • Elevator/Lift at the VFW—bids were received for the ADA compliant elevator/lift for the VFW building. Paul Ferriero will be checking the contractor’s references, and if they are good, the contract should be awarded at the November 17th Council meeting.
  • 90 Acres—he is working with Russ Newman and other staff on a Request for Proposal package for the engineering/design services for the development of the final plan and specification. He expects to have the RFP released later in November and to have proposals ready for review in January. He will be developing a Council work group in the coming month to facilitate the selection of the consultant and provide guidance throughout the project.
  • Passing of J. Peter Braun—he recognized the passing of one of Randolph’s renowned municipal leaders, former Township Manager J. Peter Braun. Manager Mountain stated, “Peter passed away last week after a short illness. Peter served as Randolph’s Township Manager from 1973 until his retirement in 1995. Over his 22 year tenure as Randolph Manager, Peter helped shape not only the Randolph municipal organization of today, but also much of what makes Randolph a special community. Peter initiated the culture of professional government for which Randolph is reputed throughout the state. He also championed the Council-Manager form of government, and worked tirelessly to ensure that this system was held in high esteem both during and after his service to Randolph. Peter was a pioneer in shared municipal services, establishing the Morris County Cooperative Pricing Council and many of the shared municipal service contracts for which Randolph is still a lead agency today. Peter’s legacy extended well beyond administrative achievements. During his years as Manager he oversaw the expansion of all township services, taking the township from a small rural community to a bustling suburb. He also took a leadership role in shaping the township’s municipal facilities and parks, including the expansion of the municipal building, the development of the township library, the Recreation and Senior Center, as well as Heistein, Randolph and Brundage Parks. Most importantly, Peter was dedicated to serving the residents and businesses that called Randolph home. He solved problems, responded to concerns, and through his efforts made countless people’s lives better. Those that he helped may not all have remembered him by name, but they never forgot the positive manner in which he responded. As I reflected on Peter’s passing, I thought to myself how appropriate it is that I should be here to share these words with the Council and members of the public tonight. Peter hired me as his Assistant in November of 1992, and it is fair to say that he probably taught me more about managing a municipal organization than any class I have taken, or book I have read. You don’t forget people that have that kind of lasting impact on your life. Just the same, I hope Peter Braun’s contributions to Randolph will also always be remembered.”

Mayor Hirniak asked for everyone to participate in a moment of silence in honor of former Township Manager J. Peter Braun.

F. APPROVAL OF MEETING MINUTES

1. Authorizing the Approval of the October 6, 2016 Regular Meeting Minutes

G. COMBINED ACTION RESOLUTIONS

Item #8, R-294-16, which was pulled—Mayor Hirniak asked Manager Mountain to comment. Manager Mountain explained that it was the resolution prepared for the award of the elevator. Since a little more time was needed to check on references, the Manager asked that it be pulled and moved to the November 17, 2016 Council meeting.

Items #25, 26, 27 & 28, related to the rescission of the MCCPC contracts. These items were pulled at the recommendation of the Township Legal Counsel and the Township Purchasing Agent based on an interpretation issue regarding the warranties for the vehicles. They felt the interpretation by the entities that had been granted the awards was not consistent with what the township was looking for; therefore, the recommendation was for the rescission of the awards. In the cases where a re-award was possible, the re-award is being acted on by resolutions listed below. In one case, there will be a re-bid on the contract. The Manager stated that if the Council has any questions, he will address them. However, if there is concern by the public with the Council’s action, they can follow up with the process through the Manager’s Office.

Mayor Hirniak asked Ms. Beyer if she wished to speak. Bridget and Barbara Beyer, from Beyer Chrysler, Dodge, Jeep, Ram and Beyer Ford, thanked the Council for their service. Bridget Beyer stated that she and her family appreciate the MCCPC for their business, and for the state. Ms. Beyer explained that they felt they had exceeded the specification, as did all of the rest of the bidders that were originally awarded. She explained that there is a certain way that warranties are put out to bid; they bid on thousands of bids, and all are done in a very specific way. She explained that when buying a vehicle, warranties and extended warranties are bought, and they run concurrently, not consecutively. Ms. Beyer provided examples from manufacturers Ford and Chrysler showing the warranties, and how they are laid out concurrently. She explained that, in the specification that was put out to bid, it is exactly the same that it is in the warranty books; that is how they and the other dealers who were awarded, had bid. Bridget Beyer explained that they had received a letter asking if the extended warranty met certain specifications; the specifications outlined in the letter did not meet what was specified in the bid. She stated that they had matched what was specified in the bid.

Mayor Hirniak explained that occasionally there is a situation where a bidder whose bid was rescinded is unhappy and wants to pursue further action. As the Township Manager mentioned, there is an appeal process, and the Township Council is familiar with the process. He suggested that they contact Manager Mountain at their earliest convenience to begin the appeal process.

Bridget Beyer stated that she did not understand since it was already awarded, it was being rescinded, and how the process occurred. She questioned if there was a complaint made by the dealer who is now being awarded the bid. Mayor Hirniak replied that Council members are not involved in the process, it is handled by the Township Manager and his direct reports. He again explained that she should contact Manager Mountain, and gather the facts to determine if they want to appeal the decision. She pointed out that only one dealer had priced it that way, and if other dealers had priced it the same way, the township might have gotten a better deal.

Manager Mountain stated that he understood Ms. Beyer’s position. He explained to the Council that if they wish to hold off on the action, they can do so, and give the opportunity to this bidder and to any other bidder to hear from the appropriate people as to the decision process. The Manager explained that it has been reviewed thoroughly by the Township Attorney and the Purchasing Agent; they are familiar with both the argument presented by Ms. Beyer as well as by other vendors involved in the process.

Mayor Hirniak asked if they would like to informally discuss the issue with the Manager, or if they wanted to pursue a more formal remedy. Ms. Beyer stated that they would like the opportunity to have a discussion, since they had not yet been given that opportunity. She explained that she had spoken to two other dealers earlier in the day who were involved with this bidding, and they were also not aware of the situation, but could not make the Council meeting. She knew they would also like to discuss the issue. Mayor Hirniak asked if the Council had any concerns about pulling those resolutions. Councilman Forstenhausler felt that if there was confusion about the bidding, all of the bidders should be given the opportunity to have an informal discussion. Councilman Loveys stated that he thought that part of the process included a time when bidders could ask questions for clarification. Manager Mountain explained that before a bid is awarded, there is time to clarify; however, in this case, the bidders believed they understood it. Ms. Beyer added that there was nothing to clarify because this was the way it is always done. Therefore, items #25 (R-311-16), 26 (R-312-16), 27 (R-313-16), and 28 (R-314-16) were pulled.

Deputy Mayor Carey made a motion to approve the Combined Action Resolutions, with the exception of R-294-16, R-311-16, R-312-16, R-313-16, and R-314-16. Councilman Forstenhausler seconded the motion, and the following roll call vote was taken:

1. Awarding a Contract for Re-Outfit of Vehicle 912 to Cliffside Body Corp—$44,824.00

WHEREAS, the Township of Randolph advertised for the Re-Outfit of Vehicle 912 project in accordance with Local Public Contracts Law and received bids on October 21, 2016; and

WHEREAS, 2 bids were received; and

WHEREAS, bids were received from the following and for the bid prices listed:

Eastern Surplus & Equipment Co., Philadelphia, PA—Base Bid: $99,123.75;
Cliffside Body Corp., Fairview, NJ—Base Bid: $44,824.00; and

WHEREAS, the Public Works Director and the Purchasing Agent recommend the award of the contract to Cliffside Body Corp. as the lowest responsive, responsible bidder; and

WHEREAS, the Township of Randolph desires to award a contract for the Re-Outfit of Vehicle 912 to Cliffside Body Corp. of Fairview, NJ in the amount of $44,824.00; and

WHEREAS, the Finance Officer has certified to the availability of funds for this project.

NOW, THEREFORE BE IT RESOLVED, by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that a contract be awarded to Cliffside Body Corp. of Fairview, NJ for the Re-Outfit of Vehicle 912 project for the price of $44,824.00 per their bid proposal.

CERTIFICATION OF AVAILABILITY OF FUNDS

As required by N.J.S.A. 40A:4-57, N.J.A.C. 5:30-14.5, and any other applicable requirement, I, Darren Maloney, Director of Finance for the Township of Randolph, have ascertained that funds will be available in the General Capital Fund, Ordinance 12-16, Purchase DPW Equipment and Ordinance 13-14, Purchase DPW Equipment, to award a contract to Cliffside Body Corp. of Fairview NJ for the re-outfit of vehicle 912, per its response to a solicitation for bids by the Township.

NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Tax Collector be instructed to cancel the 2016 taxes, water/sewer delinquent and overpayments of $10.00 and under.

3. Release Road Opening Cash Bond for 43 Calais Road for the Purpose of Connecting to the Township Water Service to Michael Giampietre—$500.00

WHEREAS, the Engineering Department has received a request from Michael Giampietre for the release of a $500.00 cash road opening bond posted for the purpose of connecting to the township water service at 43 Calais Road, Randolph NJ 07869; and

WHEREAS, the Road Opening Bond consisted of a $500.00 cash bond, which was received and deposited with the Finance Department on 5/21/16; and

WHEREAS, the Applicant was required to post this cash bond to guarantee the connecting to the township water service at 43 Calais Road, Randolph NJ 07869, within the Township Right of Way; and

WHEREAS, the Engineering Department has inspected the road opening work, and found it to be acceptable.

NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey that it is recommended by Raffaele Carchia, Engineering Administrator that the Cash Road Opening Bond in the amount of $500.00 be refunded to Michael Giampietre at 43 Calais Road, Randolph NJ 07869.

4. Refund Outside Tax Sale Certificate for 4 Andrews Road, Block 165, Lot 9 to Trystone Capital Assets, LLC—$2,483.12

WHEREAS, Outside Tax Sale Certificate #2066 held by Trystone Capital Assets, LLC, assessed to Cynthia Whyte, Block 165, Lot 9, 4 Andrews Road; and

WHEREAS, the above mentioned Tax Sale Certificate has been redeemed through the Tax Collector, including principal and interest in the amount of $983.12, and premium in the amount of $1,500.00.

NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Township of Randolph, County of Morris, that the Treasurer be instructed to refund $2,483.12 to Trystone Capital Assets, LLC, holder of Tax Sale Certificate #2066.

5. Refund Road Opening Cash Bond for the Purpose of Replacing Driveway Blacktop with Pavers at 1 Willow Drive, Block 215, Lot 15 to Domingos Pereira—$500.00

WHEREAS, the Engineering Department has received a request from Domingos D. Pereira for the release of a $500.00 cash road opening bond posted for the purpose of replacing driveway blacktop with pavers at 1 Willow Drive, Randolph NJ 07869, BL 215 / L 15; and

WHEREAS, the Road Opening Bond consisted of a $500.00 cash bond, which was received and deposited with the Finance Department on September 28, 2016; and

WHEREAS, the Applicant was required to post this cash bond to guarantee the replacing driveway blacktop with pavers at 1 Willow Drive, Randolph NJ 07869, within the Township Right of Way; and

WHEREAS, the Engineering Department has inspected the road opening work, and found it to be acceptable.

NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey that it is recommended by Raffaele Carchia, Engineering Administrator that the Cash Road Opening Bond in the amount of $500.00 be refunded to Domingos D. Pereira at 1 Willow Drive, Randolph NJ 07869.

6. Refund Road Opening Cash Bond for the Purpose of Connecting to the Township Water Service at 26 Longview Ave, Block 83, Lot 20 to Ross Grubin—$500.00

WHEREAS, the Engineering Department has received a request from Ross Grubin for the release of a $500.00 cash road opening bond posted for the purpose of connecting to the township water service at 26 Longview Avenue, Randolph, NJ 07869 BL83/L 20; and

WHEREAS, the Road Opening Bond consisted of a $500.00 cash bond, which was received and deposited with the Finance Department on August 4, 2016; and

WHEREAS, the Applicant was required to post this cash bond to guarantee the connecting to the township water service at 26 Longview Avenue, within the Township Right of Way; and

WHEREAS, the Engineering Department has inspected the road opening work, and found it to be acceptable.

NOW THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, County of Morris, State of New Jersey that it is recommended by Raffaele Carchia, Engineering Administrator that the Cash Road Opening Bond in the amount of $500.00 be refunded to Ross Grubin at 26 Longview Avenue, Randolph NJ 07869.

7. Authorizing Mayor to Sign Agreement with Morris County Providing for the Reimbursement for Resurfacing Work on Sussex Tpke—Randolph Share—$43,333.33 of $130,000.00 Total Cost

WHEREAS, Randolph Township and the County of Morris will be resurfacing Sussex Turnpike from 550 feet south of Calais Road to 80 feet north of Harvey Terrace; and

WHEREAS, an Agreement between Randolph Township and the County of Morris is necessary to provide for apportionment of the costs associated with the improvements to the aforesaid roadway in accordance with the County Policy on Cost Sharing in Intersection Improvements, Channelization, and Signalization Projects; and

WHEREAS, the estimated total cost of the project, including construction, is $130,000.00 with the County’s share being $86,666.67 and Randolph Township’s share being $43,333.33; and

WHEREAS, Morris County and Randolph Township agree to follow all provisions set forth by the aforesaid Agreement.

NOW, THEREFORE, BE IT RESOLVED that the Council of the Township of Randolph, in the County of Morris, State of New Jersey, does hereby authorize the Mayor to sign Agreement between Randolph Township and the County.

9. Authorizing Contracts with Additional Approved Vendors under the MCCPC

WHEREAS, the Township of Randolph pursuant to N.J.S.A. 40A:11-11(5) and N.J.A.C. 5:34-7.1 et seq. may, by resolution and without advertising for bids, purchase any goods or services under a Cooperative Pricing System of which the Township is a member; and

WHEREAS, the Township of Randolph on February 11, 2016 via R 56-16 and on April 21, 2016 via R 134-16 authorized contracts with certain approved MCCPC Contract vendors; and

WHEREAS, it’s been determined that contracts in excess of $17,500 may be entered into with additional MCCPC Contract Vendors; and

WHEREAS, the additional MCCPC Contract Vendors have been added to the attached list; and

WHEREAS, the Township of Randolph anticipates entering into contracts in excess of $17,500 with the attached Referenced Contract Vendors through this resolution and properly executed purchase orders/contracts as needed, which shall be subject to all the conditions applicable to the current co-op contracts.

NOW, THEREFORE, BE IT RESOLVED that the Township of Randolph authorizes the Purchasing Agent to purchase certain goods and services from the additional approved MCCPC Contract Vendors on the attached list, pursuant to all conditions of the individual co-op contracts; and

BE IT FURTHER RESOLVED that the governing body of the Township of Randolph pursuant to N.J.A.C. 5:30-5.5(b) regarding the certification of available funds, shall either certify the full maximum amount against the budget at the time the contract is awarded, or no contract amount shall be chargeable or certified until such time as the goods or services are ordered or otherwise called for prior to placing the order, and a certification of availability of funds is made by the Chief Financial Officer via an authorized Purchase Order; and

BE IT FURTHER RESOLVED that the duration of the contracts between the Township of Randolph and the referenced MCCPC Contract Vendors shall be until December 31, 2016 or upon expiration of the vendor’s contract whichever is first.

10. Authorizing Contracts with Additional Certain Approved State Contract Vendors

WHEREAS, the Township of Randolph on February 11, 2016 via R 55-16, on March 10, 2016 via R 92-16, on March 31, 2016 via R 104-16, and on July 7, 2016 via R 195-16 authorized contracts with certain approved State Contract Vendors pursuant to N.J.S.A. 40A:11-12a and N.J.A.C. 5:34-7.29(c); and

WHEREAS, it’s been determined that contracts in excess of $17,500 will be entered into with additional State Contract Vendors; and

WHEREAS, the additional State Contract Vendors have been added to the attached list.

NOW, THEREFORE, BE IT RESOLVED, that the Township of Randolph authorizes the Purchasing Agent to purchase certain goods and services from the additional approved New Jersey State Contract Vendors on the attached list, pursuant to all conditions of the individual State contracts; and

BE IT FURTHER RESOLVED that the governing body of the Township of Randolph pursuant to N.J.A.C. 5:30-5.5(b) regarding the certification of available funds, shall either certify the full maximum amount against the budget at the time the contract is awarded, or no contract amount shall be chargeable or certified until such time as the goods or services are ordered or otherwise called for prior to placing the order, and a certification of availability of funds is made by the Chief Financial Officer via an authorized Purchase Order; and

11. Authorizing Award of MCCPC Contract #1—Motor Gasoline to Finch Fuel Oil Company, Inc. for Category A and Allied Oil, LLC

WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) sought bids for Contract #1 (Motor Gasoline); and

WHEREAS, bids had been advertised and received on October 5, 2016, in accordance with Local Public Contracts Law; and

WHEREAS, four (4) bids were received for Contract #1 (Motor Gasoline); and

WHEREAS, Finch Fuel Oil Company, Inc., in Kearny, New Jersey, was the lowest responsive and responsible bidder for Category A for the items and prices reflected in the attached Notification of Award for a three-year term; and

WHEREAS, Allied Oil, LLC, in Hillsborough, New Jersey, was the lowest responsive and responsible bidder for Category B for the items and prices reflected in the attached Notification of Award for a three-year term.

NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Township on behalf of the MCCPC hereby authorizes the award of Contract #1 (Motor Gasoline) as noted above for the term of January 1, 2017 - December 31, 2019.

12. Authorizing Award of MCCPC Contract #2—Fuel Oil to Finch Fuel Oil

WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) sought bids for Contract #2 (#2 Fuel Oil); and

WHEREAS, bids had been advertised and received on October 5, 2016, in accordance with Local Public Contracts Law; and

WHEREAS, three (3) bids were received for Contract #2 (#2 Fuel Oil); and

WHEREAS, Finch Fuel Oil Company, Inc., in Kearny, New Jersey, was the lowest responsive and responsible bidder for the price reflected in the attached Notification of Award for a three-year term.

Manager Mountain explained that the ordinance amends the existing land use development ordinance to allow garden apartment affordable housing as a conditional use in the R-4 garden apartment district.

K. OPEN TO THE PUBLIC

Jim McConnell of 45 Carrell Road stated that he was surprised to hear of the passing of J. Peter Braun. Mr. McConnell knew Mr. Braun, and felt he was a good man and a good Township Manager, and would be missed.

Judith Stewart of 114 Everdale Road asked if the Council had considered putting the fence ordinance for discussion on a future agenda. She again asked for it to be included on a future agenda. Manager Mountain explained that he will be referring the issue to the Land Use Boards to review and provide feedback.

Steven Riecker of 3 Patriots Way stated that he was preparing his presentation on the chicken ordinance request for the November 17th Council meeting. He stated that he would like to contact the Council members individually to obtain feedback for specific information to be incorporated into his presentation. Mayor Hirniak explained that Mr. Riecker could contact the Council members, and that their contact information is on the township website.

Seeing no one further from the public, the public portion was closed.

L. COUNCIL COMMENTS

Councilman Forstenhausler reported that he, Deputy Mayor Carey, and Councilman Guadagno had a meeting on Tuesday, November 1st with the Trails Committee. They received proposals from consultants for the committee to review, and they are moving forward with planning the improvement and expansion of the trails.

Deputy Mayor Carey reported that she was impressed with the members of the Trails Committee, and their interest in the trail system.

Deputy Mayor Carey also reported that she had filled in for Mayor Hirniak at the Randolph High School Athletic Hall of Fame Induction Ceremony. It was a nice ceremony, with about 200 people in attendance.

Mayor Hirniak reported that he spoke to two RHS English classes on October 28th, one of sophomores and one of juniors. These particular classes were to improve the writing abilities of the students. The teacher had given the students a project of writing letters to the Mayor about what makes Randolph great, and what could make it better. The Mayor shared the letters with Manager Mountain. Instead of writing back, the Mayor visited the classes and spoke about municipal government. Mayor Hirniak felt one letter was worth a Council discussion; he will forward information to the Manager, and he will forward it to the Council members. It will likely be a discussion item on November 17th.

Mayor Hirniak also reported that he and Manager Mountain attended the EDC meeting on November 1st. The feedback from Career Day was very positive. Also discussed was the topic of changing the date of the Country Fair; the Rotary Club has also discussed changing the date due to foul weather. They discussed the possibility of changing the fair to the second weekend in September.

M. EXECUTIVE SESSION

WHEREAS, Section 8 of the Open Public Meetings Act, Chapter 231, P.L. 1975 (N.J.S.A. 10:4-12) permits the exclusion of the public from a meeting under certain circumstances; and

WHEREAS, this public body is of the opinion that such circumstances presently exist.

NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, in the County of Morris, and State of New Jersey, as follows:
