A. OPENING OF REGULAR MEETING
1. Call to Order
A regular meeting of the Randolph Township Council was called to order at 7:00 p.m. by Mayor Forstenhausler. This meeting is held pursuant to the New Jersey Open Public Meetings Act. Adequate notice of the meeting has been provided by posting written notice of the time, date, location and to the extent known, the agenda of the meeting in Randolph Township. This notice was posted on the Bulletin Board within Town Hall, it was filed with the Township Clerk, and it was provided to those persons or entities requesting notification. Notice was also provided to the Randolph Reporter and the Morris County Daily Record on November 17, 2017 by emailing them the annual resolution adopted by the Council on October 10, 2017. The annual resolution, which included this meeting date, was advertised in the Randolph Reporter, the official newspaper of the Township of Randolph on November 23, 2017, and in the Daily Record on November 21, 2017.

3. Pledge of Allegiance
Mayor Forstenhausler led the Pledge of Allegiance.
B. OPEN TO THE PUBLIC
Judith Stewart of 114 Everdale Road asked the Council to schedule a date to discuss traffic control at each end of Schoolhouse Road.
Seeing no one further from the public, the public portion was closed.
C. MANAGER’S REPORT
Manager Mountain reported the following:
- EA Porter/Habitat for Humanity—the project continues to move along. The soil remediation phase of the project was completed at the end of last year. The better part of this year has been the development of a site improvement specification. This has to double as the site improvement as well as the cap that is required as part of the remediation. Township staff met with Habitat for Humanity the prior week; the township was able to finalize the remaining items needed by their architect for site improvements. The Engineering office is finalizing the specifications; it is expected to go out to bid in November, with the award in January, and a ground breaking in spring 2019. Concurrently they are working with Dover to bring water to the site; there is an existing easement by the building with TJ Trophies that will help with getting the water.
- Veterans Community Park—in addition to the groundbreaking ceremony, there was a pre-construction meeting with Abraham Construction, the contractor for the project. The project is expected to commence in October; it will take approximately one year to complete the project. The Planning Board also reviewed and approved the project.
- The budget process is underway; he and Darren Maloney will complete the administrative portion by December. The Council will have the first work session on the budget in January.
- The Country Fair is on September 22nd; the EDC will present their 2018 Business Achievement Award to JT’s Confections, Sportsmen’s Hair Stylists, and CCM.
- The next meeting is scheduled for Tuesday, October 2nd which is the same day as the school special election. He proposed moving the start of the meeting to 6:00 p.m. in order for the business portion to be completed prior to 8:00 p.m.; Donna Luciani and Donna Brady will need to be ready for the election results to come in. The Council agreed to move the meeting to 6:00 p.m. on October 2nd.
D. COMBINED ACTION RESOLUTIONS
Deputy Mayor Loveys noted that some of the escrow reimbursements state that they include interest. He asked for clarification as to whether all the escrow reimbursements include interest. Manager Mountain replied that he believed so, but would follow up to clarify.
1. Authorizing the Submittal of a Grant Application and Execution of a Grant Contract with the NJ DOT for the Franklin Road Resurfacing Project

NOW, THEREFORE, BE IT RESOLVED that Council of Randolph formally approves the grant application for the above stated project.
BE IT FURTHER RESOLVED that the Mayor/Council and Clerk are hereby authorized to submit an electronic grant application identified as 0214 to the New Jersey Department of Transportation on behalf of Township of Randolph.
BE IT FURTHER RESOLVED that Mayor/Council and Clerk are hereby authorized to sign the grant agreement on behalf of Township of Randolph and that their signature constitutes acceptance of the terms and conditions of the grant agreement and approves the execution of the grant agreement.
2. Refund a Portion of Escrow Funds for 5 Elizabeth Drive, Block 73, Lot 51 to Dimittios Psaras—$579.50

12. Authorizing the Person-to-Person and Place-to-Place Transfer of Plenary Liquor License No. 1432-44-023-003 from James B. Grecco to Weis Markets, Inc.

WHEREAS, Weis Markets, Inc. (“Applicant”), age twenty one (21) or greater, has submitted a properly completed Retail Liquor License Application (“Application”), as provided by the New Jersey Division of Alcoholic Beverage Control (“ABC”), to transfer Plenary Liquor License No. 1432-44-023-003 (“Liquor License”) from James B. Grecco (“Licensee”) to Applicant, including all appropriate supporting documents and affidavits of publication; and
WHEREAS, a police background check has been completed on Applicant, including a fingerprint check, with a determination of no criminal history; and
WHEREAS, the Applicant has disclosed information as to the source of funds for acquiring the Liquor License from the current Licensee satisfactory to Randolph Township; and
WHEREAS, the Applicant has submitted a notarized Affidavit of Transferee; and
WHEREAS, the Licensee has submitted a Consent to Transfer Liquor License; and
WHEREAS, the Applicant has provided a letter from the Township Planning Administrator that the licensed premises are more than 600 feet from any school or church; and
WHEREAS, the Applicant’s attorney by letter dated September 7, 2018 has advised that the closing date for the liquor license transfer is September 21, 2018, and that date shall be the effective date of the transfer of Plenary Liquor License No. 1432-44-023-003; and
WHEREAS, the New Jersey Department of the Treasury, Division of Taxation has approved and issued an Alcoholic Beverage Retail Licensee Clearance Certificate (Transfer) and;
WHEREAS, all applicable requirements to transfer a liquor license per N.J.S.A. 33:1, et seq., N.J.A.C. 13:2-7.1, et seq., and the Township of Randolph Revised Ordinances 4-1, et seq. have been met, including the payment of all required fees.
NOW, THEREFORE BE IT RESOLVED by the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:
- The Person-to-Person and Place-to-Place transfer of the Plenary Liquor License No. 1432-44-023-003 from James B. Grecco to Weis markets, Inc. is hereby authorized and approved and shall be effective on September 21, 2018.
- The Mayor and Township Clerk, together with all other appropriate elected and appointed officials and professionals, are hereby authorized and directed to take any and all steps necessary to effectuate the purposes of this Resolution.
- This Resolution shall take effect immediately.
13. Accepting and Approving the Revised Personnel Policies and Procedures Manual and Employee Handbook

WHEREAS, it is the policy of the Township of Randolph (“Township”) to treat employees and prospective employees in a manner consistent with all applicable employment laws and regulations including, but not limited to Title VII of the Civil Rights Act of 1964, as amended by the Equal Opportunity Act of 1972, the Age Discrimination in Employment Act, the Equal Pay for Equal Work Act, the Fair Labor Standards Act, the New Jersey Law Against Discrimination, the Americans with Disabilities Act, the Family and Medical Leave Act, the Conscientious Employee Protection Act, the Public Employee Occupational Safety and Health Act, the New Jersey Workers Compensation Act, the Federal Consolidated Omnibus Budget Reconciliation Act (COBRA) and the Open Public Meeting Act; and
WHEREAS, the Township has determined that there is a need for revisions to the Personnel Policies and Procedures Manual and Employee Handbook to ensure that employees and prospective employees are treated in a manner consistent with these laws and regulations.
NOW, THEREFORE, BE IT RESOLVED by the Governing Body of the Township Council of the Township of Randolph, County of Morris, State of New Jersey, as follows:
- 1. The revised Personnel Policies and Procedures Manual and Employee Handbook (“Manual”) attached hereto, and dated September 2018, is adopted.
- The personnel policies and procedures set forth in the Manual shall apply to all Township officials, appointees and employees. In the event there is a conflict between these rules and any collective bargaining agreement, personnel services contract or Federal or State law, the terms and conditions of that contract or law shall prevail. In all other cases, these policies and procedures shall prevail.
- This Manual is intended to provide guidelines covering public service by Township employees and is not a contract. To the maximum extent permitted by law, employment practices for the Township shall operate under the legal doctrine known as “employment at will” and the provisions of this Manual may be amended and supplemented from time to time without notice and at the sole discretion of the Governing Body.
- The Mayor and Township Clerk, together with the Township attorney and other appropriate and applicable officers, employees, professionals and staff of the Township, are hereby authorized and directed to take all steps necessary to effectuate the purposes of this Resolution.
- This Resolution shall take effect immediately.
14. Authorizing Rejection from Cargill, Inc. and Awarding to The Detroit Salt Company, Morton Salt, and Atlantic Salt of MCCPC Contract #3 (Rock Salt & Liquid Calcium Chloride

WHEREAS, the Township of Randolph (“Township”) on behalf of the Morris County Cooperative Pricing Council (“MCCPC”) sought bids for Contract #3 (Rock Salt & Liquid Calcium Chloride); and
WHEREAS, bids had been advertised and received on August 16, 2018, in accordance with Local Public Contracts Law; and
WHEREAS, five (5) bids were received for Contract #3; and
WHEREAS, Contract #3 is awarded by district (Essex, Hunterdon, Morris, Passaic, Somerset, Sussex, Union and Warren); and
WHEREAS, Cargill, Inc. in North Olmsted, Ohio, was the apparent low bidder for Hunterdon County and Warren County in Category VI (Rock Salt Treated With Magnesium Chloride & Agriculturally Based Enhancer—Delivered by Truck), however the bid proposal contained numerous exceptions to the bid specifications and the Statement of Ownership Disclosure was not completed in compliance with the instructions, which is a non-curable and non-waivable defect and their bid must be rejected; and
WHEREAS, the sole bidder for Category III (Calcium Chloride, Liquid Solution with Corrosion Inhibitor—Delivered) is working on finalizing required documentation from the state, therefore Category III cannot be awarded at this time; and
WHEREAS, there were no bidders for Category IV (Envirobrine Liquid Melting Agent, Soil-Stabilizer with Corrosion Inhibitor—Delivered); and
WHEREAS, there were no bidders for Category V (Natural Agriculturally Based Enhancer—Natural Deicing Liquid—Delivered); and
WHEREAS, The Detroit Salt Company in Detroit, Michigan, Morton Salt, Inc. in Chicago, Illinois, and Atlantic Salt, Inc. in Lowell, Massachusetts are the lowest responsive and responsible bidders for the items and prices shown on the attached Notification of Award for a one-year term.
NOW, THEREFORE, BE IT RESOLVED by the Township Council, Township of Randolph, County of Morris, State of New Jersey, that the Township on behalf of the MCCPC hereby authorizes the rejection of, and hereby rejects, the bid submitted by Cargill, Inc. for the reasons stated above.
BE IT FURTHER RESOLVED that the Township Council on behalf of the MCCPC hereby authorizes the award of Contract #3 (Rock Salt & Liquid Calcium Chloride) to The Detroit Salt Company, Morton Salt and Atlantic Salt as noted above and on the Notification of Award for the term October 15, 2018 - October 14, 2019.

F. ORDINANCES: SECOND READING/PUBLIC HEARING
1. Ordinance No. 19-18: An Ordinance Authorizing the Vacation of the Entirety of Nester Avenue and Sidney Terrace within the Township of Randolph
BE IT RESOLVED, that an Ordinance entitled “AN ORDINANCE AUTHORIZING THE VACATION OF THE ENTIRETY OF NESTER AVENUE AND SIDNEY TERRACE WITHIN THE TOWNSHIP OF RANDOLPH” be read by title on second reading and a hearing held thereon.
Manager Mountain explained that both of these streets had been acted on, in some capacity, by a prior Council to remove them from the tax map. Nester Avenue was removed from the tax map, but never vacated; Sidney Terrace was vacated, but the filing was never made. This ordinance will close both of these vacations.

2. Ordinance No. 20-18: An Ordinance Reappropriating $44,000 from Ordinance #15-13 in Order to Provide for Other Purposes in and by the Township of Randolph
BE IT RESOLVED, that an Ordinance entitled “AN ORDINANCE REAPPROPRIATING $44,000 FROM ORDINANCE #15-13 IN ORDER TO PROVIDE FOR OTHER PURPOSES IN AND BY THE TOWNSHIP OF RANDOLPH” be read by title on second reading and a hearing held thereon.
Manager Mountain explained that this reappropriates funds from 2013 that were originally set aside for automated controls for the gate at the DPW to be moved to provide security improvements that have been identified at the DPW and in other township facilities which are a higher priority.

H. COUNCIL COMMENTS
Councilman Guadagno attended the Trails Committee meeting; it was very well attended. They chose the signs that will mark the trails; they fine-tuned the list of trails. They also discussed the Patriot’s Path trail since it intersects the township trail system. They did not get the Engineer’s approval for one trail going from Birchwood Estates. Manager Mountain explained that the county requires it to be fully engineered prior to grant submission. The township is currently working on the engineering portion; the grant request will be submitted next year.
Councilman Tkacs reported that he and other Council members attended the ground breaking at the Veterans Community Park. He also attended the Planning Board meeting, but there was nothing notable to report.
Councilwoman Carey reported that she and several Council members attended the Chamber of Commerce luncheon; Pat Robinson, from the Randolph Reporter spoke about “Fake News.”
Deputy Mayor Loveys reported that Randolph High School has a new Athletic Director who will start in October. Russ Newman and Jeanne Montemarano have already been in contact with him to coordinate a meeting. Recreation Committee member, Bob Barbiere, is working on a website that will replace a newsletter that the committee produced for the chairperson of each sports program. The Recreation Committee submitted applications to the Morris Park Alliance for Program Award for the Arts in the Park; for Facilities Award for the improvements to Freedom Park; and for Planning Award for the Trails Master Plan. The Randolph Lake swim team had a successful year; the Regional Lake League finals, with over 1,000 participants, was hosted at Randolph Lake. Also discussed at the Recreation Committee meeting was staffing issues related to lifeguards, not just in Randolph, but in other towns and facilities.
Mayor Forstenhausler reported that the bench at the Municipal Building was dedicated to former Township Manager J. Peter Braun; the ceremony was well attended.
Mayor Forstenhausler and several other Council members attended the fundraiser at the Ironia Firehouse for Officer Crowley. Fire Company 2 had their beefsteak dinner the same night.
Mayor Forstenhausler attended the County’s September 11th memorial, as well as the Senior Picnic that was held the same day.
The Mayor and other Council members attended the Business After Hours by the Chamber of Commerce was held at the Mt. Freedom Golf range; it was very well attended and a great networking opportunity for the local businesses.
Mayor Forstenhausler, Deputy Mayor Loveys, and Councilman Napoliello attended the Morris County League of Municipalities dinner and meeting; there was an excellent presentation on school security.
I. EXECUTIVE SESSION
WHEREAS, Section 8 of the Open Public Meetings Act, Chapter 231, P.L. 1975 (N.J.S.A. 10:4-12) permits the exclusion of the public from a meeting under certain circumstances; and
WHEREAS, this public body is of the opinion that such circumstances presently exist.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the Township of Randolph, in the County of Morris, and State of New Jersey, as follows:
1. The public shall be excluded from the Executive portion of the meeting.
2. The general nature of the subject matter to be discussed is as follows:
Potential Land Acquisition—Mountainside Property
3. As nearly as now can be ascertained, the matter or matters to be discussed at this time will be disclosed to the public at such time and under such circumstances as are prescribed by law.
4. At the conclusion of the Executive Session, the Council will reconvene, or may not reconvene, in public session for the purpose of taking formal action.
Councilman Napoliello made a motion to move into Executive Session at 7:30 p.m. Councilman Tkacs seconded the motion, and the following roll call vote was taken:
